General Terms & Conditions

  1. THESE TERMS

    • These urpay Electronic Wallet Services Terms and Conditions (including all [Annexes and Payment Card Terms or other terms will be added as an annex to this Agreement.]] Policies) (together, referred to as the "Agreement"), shall apply when you register for a Wallet Account or use any of the urpay Wallet Services. 
    • In this Agreement, “you”, “your” and “their” refer to the user of the urpay Wallet Services and “urpay”, “we,” “us,” or “our,” refer to Global Digital Financial Solutions Company, the provider of the urpay Wallet Services. Further information regarding urpay is set out in section 2.
    • Agreement start date. This Agreement will take effect from the date that you register for a Wallet Account and indicate acceptance of the Agreement pursuant to these terms. The Agreement will continue unless and until you or we end the Agreement in accordance with the provisions of section ‏14.
    • Why you should read this Agreement. This Agreement tells you who we are, how we will provide the urpay Wallet Services to you, how you and we may change or end this Agreement, what to do if there is a problem and other important information. 
  2. CONTACTING US

    • We are Global Digital Financial Solutions Company, a single person closed joint stock company registered in the Commercial Register of Riyadh, Kingdom of Saudi Arabia, under No. 1010679441 and having Unified ID No. 7021176180. We are an Affiliate of Al Rajhi Bank.

    • We may contact you by telephone, email, or other method in our discretion. 
  3. DEFINED TERMS

    • The following terms shall have the meanings ascribed to them below wherever they appear capitalised in the Agreement, unless the context requires otherwise: 
    • "Affiliate" means an entity owned or controlled by us or any entity controlled by, in control of, or under common control with us.
    • "App" means the urpay electronic wallet services app made available and as updated by urpay from time to time that you may use to access and manage your Wallet Account. 
    • "Applicable Law" means all applicable national, state, local, municipal legislation, regulations, statutes, by-laws, consents and/or other law, orders, court rulings and any other instrument having the force of law as may be issued and in force from time to time (and any amendment or subordinate provisions) relating to or connected with the activities contemplated under this Agreement in the Kingdom of Saudi Arabia.
    • "Available Balance" means the amount labelled as such on the App reflecting the total amounts transferred to your Wallet Account within the Recharge Limit, and is the balance of funds you can use from your Wallet Account in accordance with this Agreement. 
    • "Business Day" means any day other than a Friday or Saturday or a public holiday in the Kingdom of Saudi Arabia. 
    • "Credentials" means your password and access keys that are set to allow you to access your Wallet Account via the App.
    • "Current Balance" means the amount labelled as such on the App reflecting the sum of your Available Balance and any other amounts transferred to your Wallet Account exceeding the Recharge Limit.
    • "Cut Off Time" means the last time for making or receiving payments under the relevant payment scheme on a given day.
    • "Device" means a smartphone, tablet or smart watch or any other device which is compatible for use with the urpay Wallet Services.
    • "International Remittance(s)" means transfer of funds from your Available Balance to a Receiver in a country other than the Kingdom of Saudi Arabia.
    • "Marketplace" means the marketplace made available by urpay to you which allows you to purchase Marketplace Products from Sellers.
    • "Marketplace Products" means all goods, products and/or services, including packaging, made available for purchase in the Marketplace. 
    • "Multiple Payment" means a payment authorization given by you to a merchant to charge your selected payment method variable amounts over a specified time period.
    • "Policies" means all applicable policies, notices, procedures, specifications, FAQs, guides and guidelines that are provided or made available to you, appear on the App or are referenced in this Agreement.   
    • "Recharge Limit(s)" means the limits of funds that you can transfer in a period of time to your Available Balance, as set by us from time to time, in your Wallet Account, including but not limited to recharge transfers, cash-in, reversals and any other forms of transfers into your Wallet Account. Currently, the recharge limit is SAR 20,000 per month.
    • "Receiver" means the person you specify via the App as the receiver of funds transferred via the International Remittance of the urpay Wallet Services. 
    • "Recurring Payment" means a payment authorization given by you to a merchant to charge your selected payment method at regular intervals for fixed or variable amounts over a specified time period.
    • "Remittance Intermediaries" means third party money transfer and transmission companies that power and service International Remittances as part of the urpay Wallet Services.
    • "SCB" means the Saudi Central Bank.
    • SCB Guidelines” means the payment service provide regulatory guidelines issued by SCB dated January 2020, as amended from time to time.
    • "SAR" means Saudi Arabian Riyals.
    • "Seller" means a third party merchant that makes Marketplace Products available for You to purchase through the Marketplace. 
    • "Split Payment" means a payment authorization given by you to a merchant for the full amount of a single order containing more than one item, permitting the merchant to charge your selected payment method for each such item separately at the time the item or service is shipped or fulfilled.
    • "Supplemental Wallet Account" means a sub-Wallet Account that you may request subject to the availability of such option on the App.
    • "Tax" means and includes all forms of taxation (including value added tax) and statutory, governmental, supra-governmental, state, local governmental or municipal impositions, duties, contributions, deductions, withholdings and levies whether of the Kingdom of Saudi Arabia or elsewhere whenever imposed.
    • "Our Materials" means any software (including without limitation developer tools, sample source code, and code libraries), data, materials, content and printed and electronic documentation (including the Specifications and any integration guides) developed and provided by us or our Affiliates to you for download from the App. Our Materials do not include any software, data or other materials specifically made available by us or our Affiliates under separate license terms or that were created by a third party, including without limitation software provided under an open source license.
    • "Wallet Account" means the account you open with us for the use of the urpay Wallet Services.
    • "urpay Wallet Service(s)" means the urpay services that you may avail via the App including but not limited to using the electronic wallet to cash-in, pay for goods and services (including via the Marketplace), withdraw / redeem funds in your Wallet Account and transfer funds both within the Kingdom of Saudi Arabia and internationally. 
  4. GENERAL – AVAILABILITY AND ELIGBILITY FOR URPAY WALLET SERVICES 

    • This Agreement sets out the terms on which urpay enables you register for a Wallet Account and use any of the urpay Wallet Services. 
    • Provision and language of the Agreement. A copy of the Agreement, as amended from time to time, is available to you via the App. You may also request that we provide a copy to you by email. This Agreement forms a legally binding contract between you and urpay. You can choose to have this Agreement provided to you in Arabic or in English and your relationship with us will be governed by the language version of the Agreement that you select.
    • Your eligibility. You may not use any Services and this Agreement will not be effective if:

      1. You are not at least 18 years old and able to form a binding contract with us; 
      2. Your Agreement is terminated or the provision of your Wallet Account and/or the urpay Wallet Services have been put on hold in accordance with the terms of this Agreement; or 
      3. You are a person barred from receiving the urpay Wallet Services or not permitted to make or receive payments relating to the urpay Wallet Services under the laws of the Kingdom of Saudi Arabia.

      If you do not meet these eligibility requirements you may not use the urpay Wallet Services and may not accept this Agreement.

    • Identification verification and anti money laundering and credit checks. We may require you to provide information to verify your identity or in order for us to carry out anti-money laundering and credit checks as a condition of providing the urpay Wallet Services to you or before we permit you to make payments or receive or redeem funds from your Wallet Account. If you are an existing customer of Al Rajhi Bank, you consent to us requesting that Al Rajhi Bank share your personal data with us for us to carry out such anti-money laundering and identification verification checks. If you would prefer that Al Rajhi Bank do not share your personal data with us, please inform us. In such circumstances, we may need to collect additional information directly from you in order to provide the urpay Wallet Services to you. We may also make, directly or through any third party, any inquiries we consider necessary to validate information that you provide to us, including without limitation checking commercial databases or credit reports. While we will take steps to verify the identity of our users, we cannot and do not guarantee any user identity.  
    • Security and your Credentials. Your mobile telephone number, biometric information and a password that you select will be used to access the App and for communications with you. You may also be prompted to answer several security questions or select other issued security access keys or credentials that may be used to enable access to the urpay Wallet Services and authorise transactions contemplated by this Agreement. You are responsible for maintaining the secrecy and security of your Credentials and should not disclose your Credentials to any third party. If any of your Credentials are compromised, you must notify us immediately by using the methods specified in section ‏2-2 above so that we can suspend use of your Wallet Account with the urpay Wallet Services in order to avoid unauthorized transactions. You will not be financially responsible for any use of your Wallet Account by an unauthorized person or for fraudulent transactions occurring before or after you properly notify us of the loss or compromise, unless
      (a) you have acted fraudulently or negligently; or
      (b) you did not take reasonable steps to keep your Credentials safe and secure. You must notify us through the methods described in section ‏2-2 above if you wish to request us to unblock your Wallet Account after any issues with the security of your Credentials has been resolved.
    • You will comply with all Policies. 
    • You acknowledge and agree that we may establish general practices and limits concerning the use of the urpay Wallet Services without prior notice to you, including without limitation individual or aggregate transaction limits on the value or number of transactions during any specified time period(s) and Recharge Limits. In addition to any applicable account limits and Recharge Limits, we may restrict transactions to or from your Wallet Account or limit access to your Wallet Account in such amounts and for such time as we reasonably deem necessary to protect us or other users if
      (a) we are subject to financial risk,
      (b) you have violated any term of this Agreement,
      (c) any dispute exists involving your Wallet Account or transaction conducted in connection therewith, or
      (d) needed to protect the security of our systems. 
    • We may restrict access to your Wallet Account while we complete any pending investigation or resolve a pending dispute. We also may hold the funds in your Wallet Account as required by law or court order or if otherwise requested by law enforcement or any governmental entity. For the facilitation of the foregoing, your Wallet Account will show the Current Balance and the Available Balance. You will only be able to use funds showing in your Available Balance for payments and transfers from your Wallet Account. Amounts in your Current Balance exceeding the Available Balance may not be used for payments and transfers from your Wallet Account and they will automatically and gradually be transferred to your Available Balance as soon as the Recharge Limit(s) permit doing so, otherwise, you may request the transfer of the full Current Balance to a bank account you own upon the closing of your Wallet Account. We may decline any request to load your Wallet Account while the Recharge Limits are reached.
    • urpay may change or suspend the provision of urpay Wallet Services, in whole or in part, as necessary to perform maintenance or updates to any of the urpay Wallet Services, or where urpay has any concerns about the manner in which you use such urpay Wallet Services. 
    • urpay will from time to time send you via the App messages on the various marketing and promotional messages. If you wish to stop receiving electronic commercials, please let us know. 
  5. WALLET ACCOUNT

    • How you can use your Wallet Account 
      You can use your Wallet Account to:

      1. top-up your Wallet Account by transferring funds from a valid funding instrument such as your bank account, debit card or credit card, or using SADAD, approved third party payment platforms (for example, Apple Pay) or Al Mubasher (see section ‏7 below);
      2. transfer funds from your Available Balance to bank accounts held in the name of a third party (including third parties located outside of the Kingdom of Saudi Arabia) (see section ‏8 below); 
      3. authorize payments to merchants and billers (see section ‏9 below); 
      4. purchase Marketplace Products through the Marketplace (see section ‏10 below); 
      5. request International Remittances (see section ‏10-1 below);
      6. access the Saudi Arabian Riyal Interbank Express (SARIE) system so that you can transfer funds inter-bank which is subject to a transfer fee i.e., from your Wallet Account to an account held by a third party with a bank in the Kingdom of Saudi Arabia; 
      7. access the SADAD Payment System to pay bills; 
      8. make wallet to wallet transfers; and 
      9. receive a payment card [in accordance with the urpay Payment Card Terms and Conditions.] 
    • If you wish to cash-in or cash-out from your Wallet Account, you may do this through one of the valid funding instruments detailed in section ‏1-1‌أ) above, or such other valid funding instrument as we may determine from time to time. The funding instrument must be associated with a billing address in the Kingdom of Saudi Arabia.
    • We treat all activities in respect of a Wallet Account to be yours. You must only use the urpay Wallet Services to transact on your own account and not on behalf of any other person or entity. 
    • Your Wallet Account is an e-money account. You acknowledge that your Wallet Account is not a bank account. There is no overdraft facility available on your Wallet Account. 
    • You acknowledge and agree that we may stop providing the urpay Wallet Services to you as provided in the Agreement. You may stop using the urpay Wallet Services at any time. Further details on how you or we may bring this Agreement to an end are set out in section ‏14 below. 
    • Your Transaction History
      We will provide you with a history of the transactions that you make under this Agreement at least once per month free of charge, including details of the amounts, the fees, charges and commissions, the dates and times of execution and the reference numbers for each transaction.
    • Funding, payments and transfers are displayed in your Wallet Account and you should check your Wallet Account balance and transaction history regularly. You should report any irregularities or clarify any questions you have as soon as possible using the methods specified in section ‏2-2 above.
    • Prohibited Payments 
      We reserve the right to impose acceptable use terms in relation to the operation of your Wallet Account and the provision of any urpay Wallet Services including the prohibition of certain categories of transactions for example payments in relation to gaming, cryptocurrencies and all other virtual currencies by specifying these on the App. We will notify you in the event that we impose such terms in relation to your Wallet Account at least thirty (30) days before the terms are implemented.  
    • You must not use your Wallet Account for any illegal purposes including without limitation fraud and money laundering. If you conduct or attempt to conduct any transaction in violation of these prohibitions we reserve the right (at our sole discretion) to
      (a) reverse the transaction,
      (b) close or suspend your Wallet Account,
      (c) report the transaction to the relevant law enforcement agency and/or
      (d) claim damages from you.
    • When we may refuse or delay your transactions
      We may refuse to execute any transactions or orders or other use of the urpay Wallet Services if we have reasonable grounds to suspect fraud, a breach of the Agreement by you or a violation of law. Transactions may also be delayed due to our or a third party's compliance with obligations under applicable anti-money laundering legislation, including if we or the relevant third party suspect a transaction involves fraud. In the event that we refuse to execute a transaction or order or other use of the urpay Wallet Services, you will be notified and we will provide you with objectively justifiable reasons for the refusal, unless it is unlawful for us to do so, or would compromise reasonable security measures.
    • Supplemental Wallet Accounts
      We may open a Supplemental Wallet Account at your request for the use of your dependents under the age of 18.  You will be fully responsible for the use of any Supplemental Wallet Account which we will treat as forming part of your Wallet Account.
  6. PAYMENT CARDS

    • Upon setting up your valid and active Wallet Account, we may automatically issue for you a payment card linked to your Wallet Account. You hereby agree and accept that we issue such payment card automatically. 

    • Your payment card(s) will not be valid unless you activate such payment card [in accordance with the urpay Payment Card Terms and Conditions]. You are free to decide whether you activate and accept the payment cards or not. 
    • This section ‏6 shall apply to any payment cards issued in respect of your Supplemental Wallet Accounts, if any.
  7. TOPPING UP YOUR WALLET AND RECEIVING PAYMENTS

    • Where you elect to top up your Wallet Account or receive any payments, you agree to comply with the following terms of this section. 

    • Funds paid by you or a third party will be credited to your Wallet Account on the Business Day they are received.  If we receive funds after the Cut Off Time on a Business Day or on a day that is not a Business Day, funds will be deemed to have been received on the next Business Day. We shall not be responsible for the funds until they are received by us.
    • In the event that the funds are subject to a reversal, we will deduct such reversed transaction from the balance of your Wallet Account. If your Wallet Account balance is insufficient to cover the reversal, we reserve the right to require repayment from you.
    • You should regularly reconcile incoming payments with your own records. You should be aware that the crediting of funds to your Wallet Account does not mean that these transactions cannot be reversed. We reserve the right to reverse a payment where the payer or the payer’s bank or payment service provider has reversed (or is reasonably likely to reverse) a payment to your Wallet Account.
    • All payments to us must be ascribed a clear and complete reference so that we can credit the funds into your Wallet Account. Further details as to what references must be used are set out on the App. 
    • It is your responsibility to ensure that accurate, complete and correct references are ascribed for each incoming payment you make into your Wallet Account so that we can credit the funds into your Wallet Account. If no reference or an incorrect reference is provided then we will not be able to credit your Wallet Account. In such cases, we will not be liable for any loss you incur, although we will use reasonable efforts to investigate and credit or return incorrect and inaccurately referenced payments into or from your Account.
    • We will provide you, after the execution of a payment credited to you, with the following information:
      (a) a reference to enable you to identify the payment transaction and where appropriate the payer and any information transferred with the payment transaction,
      (b) the amount of the payment transaction in the currency in which the funds are at your disposal;
      (c) the amount of fees or charges for the payment transaction payable by you;
      (d) the exchange rate used in the payment transaction by Us; and
      (e) the date on which the payment transaction was credited to your account.
  8. SENDING PAYMENTS 

    • Where you elect to send a payment from your Wallet Account, you agree to comply with the following terms of this section. 

    • We will consider any instruction for a payment transaction to have been authorised by you once you have given us consent to carry it out. You consent to making a payment by following the on-screen prompts when using the App. 
    • Sending payments from your Wallet Account means either making payments from your Wallet Account to third party beneficiaries, instructing funds in your Wallet Account to be transferred to another account in your name with a third party or withdrawing funds in cash.
    • All payment instructions must be made through the App. It is your responsibility to ensure that accurate, complete and correct payment instructions for the beneficiary of a payment (including payments to yourself) are provided to us through the App.
    • If you provide incorrect beneficiary details we will not be liable for any loss you incur, although we will use reasonable efforts to assist you in the recovery of your payment. We reserve the right to charge you a fee to cover our reasonable costs for doing this. If we are unable to recover the funds on your behalf, we will, on receipt of a written request from you, provide to you all available relevant information in order for you to attempt to claim repayment of the funds at no extra cost.
    • You are required to provide us with any additional information that we request relating to a payment within two (2) Business Days of our request. You consent to us including your full name, address and account number (and any other details as are required to enable us to comply with our anti-money laundering procedures) on the payment details to be sent to the beneficiary's bank or payment service provider.
    • You may revoke or cancel a payment instruction for a future outgoing payment transaction at any time prior to payment execution through the App. You are responsible for confirming via the App that a payment instruction has been received and processed by us. we are not liable for any loss in circumstances where erroneous duplicate payment instructions are sent by you.
    • If we receive a payment instruction by the Cut Off Time on a Business Day, your payment instruction will be deemed to have been received by us on that Business Day. If your payment instruction is received after the Cut Off Time or on a day that is not a Business Day, your payment instruction will be deemed to have been received on the next Business Day. 
    • After the receipt of a payment instruction, we will provide you with:
      (a) a confirmation of the successful or unsuccessful initiation and execution of the payment instruction,
      (b) a reference number to track the status of the payment instruction,
      (c) the amount of the payment instruction, any related fees or charges, including the actual currency and conversion rates used, and withdrawal charges, where applicable; and
      (d) the date on which we received the payment instruction. We will ensure that all payment instructions that we send to you or third party beneficiaries under your instructions are accompanied by the information required in accordance with the SCB Guidelines. 
    • You must notify us by telephone or in writing as soon as is reasonably practicable after you become aware of any unauthorised or incorrectly executed payments.  In order to claim a refund for an unauthorised or incorrectly executed payment transaction on your Wallet Account you must notify us without undue delay after becoming aware of the unauthorised or incorrect transaction. We will not be liable for incorrectly executed payments where you have failed to provide prompt notice of such matters. We will use reasonable efforts to recover the funds from the incorrect recipient of the funds and the recipient’s payment service provider. 
  9. MAKING PAYMENTS

    • Where you elect to make a payment to a merchant using your Wallet Account, you agree to comply with the following terms of this section. 

    • The urpay Wallet Services permit you to authorize payments to merchants (including Sellers) and billers directly. The actual payment will not be completed until the merchant or service provider processes your payment authorization with us. A merchant or service provider may delay processing your authorization. The payment authorization will be held with us until the transaction is completed.
    • You may preauthorize merchants or billers to charge your selected payment method using Recurring Payment, Multiple Payment or Split Payment, as you may be prompted via the App and upon such request being initiated by a merchant. Multiple Payment may be used only for multiple payments which are not Recurring Payments. You may cancel or stop a Recurring Payment or a Multiple Payment at any time via the App or if you need any assistance by contacting our customer support centre. The charges applied by a merchant for a Split Payment may not exceed the full amount of the order you agreed to pay.
    • You are entitled to a refund of the full amount of any payment transaction authorized by you and initiated by or through a merchant, provided the following conditions have been met
      (a) the authorization given to the merchant did not specify the exact amount of the transaction at the time the authorization was made,
      (b) the amount of the transaction exceeded the amount that you could reasonably have expected, taking into account your previous spending patterns and this Agreement, and
      (c) you make the request for a refund as soon as possible and within the timeframe notified to you by us. We reserve the right to request further information to ascertain whether these conditions have been satisfied. If you receive a refund for a purchase but you fail to return the product to the merchant, we may charge you for the product consistent with the original order.
    • In case of a non-executed or defectively executed transaction, we will rectify the error subject to the terms of this Agreement. In this case, we will refund your Wallet Account with the amount of the non-executed or defectively executed transaction without undue delay and take any other action necessary to restore the account in the state in which it would have been had the defective transaction not taken place. We will make efforts to trace the transaction and will notify you of the outcome.
  10. MARKETPLACE 

    • Where you elect to use the Marketplace, you agree to comply with the following terms of this section. 

    • You can access the Marketplace via the App. On accessing the Marketplace through the App, you will be directed to an external website hosted and maintained by us. 
    • We provide the Marketplace for you to negotiate and complete transactions for Marketplace Products and we allow Sellers to list and sell Marketplace Products through the Marketplace. When you purchase a Marketplace Product, you will receive a message via the App confirming the identity of the Seller. While we help facilitate transactions that are carried out in the Marketplace, we are neither the buyer nor the seller of the Seller's items which are made available through the Marketplace. Accordingly, the contract formed at the completion of a sale for any Marketplace Products is solely between you and the Seller. We are not a party to this contract nor do we assume any responsibility or liability arising out of or in connection with such contract. We do not act as the agent of the Seller. 
    • The Seller is responsible for the sale of the Marketplace Products and for dealing with any claims that you may have or any other issue arising out of or in connection with the contract between you and the Seller. You should contact the Seller directly if you wish to make any claims and/or complaints in respect of Marketplace Products that a Seller has provided to you.
    • On request, we will provide you with support to contact the Seller and provide you with reasonable assistance in settling any complaint or dispute that you may have with a Seller. 
    • All Marketplace content including, but not limited to, texts, graphic designs, logos, buttons icons, codes, audio tracks, and digital content (including all intellectual property rights contained therein) in the Marketplace are solely owned by us and/or the Sellers (as applicable) and no ownership rights will be granted to you by your use or access to the Marketplace. 
    • In accessing the Marketplace, you shall not:

      1. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Marketplace;
      2. attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Marketplace; 
      3. do anything that would negatively impact any other user of the Marketplace;
      4. access all or any part of the Marketplace in order to build a product or service which competes with the Marketplace; or 
      5. allow any third party to access the Marketplace through your Wallet Account.

      If you breach the terms of this section ‏10-7, we reserve the right to suspend your access to the Marketplace immediately.

    • You may post reviews, comments, and other content, send communications and submit suggestions, ideas, comments, questions, or other information in the Marketplace, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringes intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. If you breach the terms of this section ‏10-8, we reserve the right to suspend your access to the Marketplace immediately. 
    • We may delete from the Marketplace any content that violates any applicable laws and/or regulations of the Kingdom of Saudi Arabia. 
    • We will do our utmost to ensure that availability of the Marketplace will be uninterrupted and that transmissions will be error-free. However, due to the nature of the internet, this cannot be guaranteed. Your access to the Marketplace may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. We will attempt to limit the frequency and duration of any such suspension or restriction.
    • We will take all reasonable steps to ensure that the Marketplace is secure. If the Marketplace is subject to a security breach which affects your rights or personal data, we will notify you of this security breach within three (3) days from the date that we become aware of the security breach and we shall provide you with information regarding the scope of the security breach and its effects, and the measures we have taken to remedy it.
  11. INTERNATIONAL REMITTANCES 

    • You may transfer funds from your Available Balance through International Remittances. You hereby acknowledge and agree that the urpay Wallet Services is powered and serviced by Remittance Intermediaries and such International Remittances will be subject to special terms and conditions as described below:

      1. Unless applicable law in the destination country you specify for a Receiver requires otherwise, you will bear all fees, charges, local taxes, exchange fees, and any other fees and charges of whatever nature for International Remittances. 
      2. Where possible, charges for International Remittances will be shared with you on the App prior to the completion of the transfer order.  You acknowledge that such charges cannot always be calculated in advance. On requesting a transaction order, we will promptly share with you the applicable charges relating to the transaction. 
      3. In the event you cancel a transaction, or a transaction is declined or for any other reason reversed, transaction fee and charges in relation to any International Remittances are non-refundable and therefore will not be returned to your Wallet Account. You are therefore advised to ensure that your requests for International Remittances are carefully reviewed before submission via the App.
      4. Remittance Intermediaries may be prohibited from completing an International Remittance transaction by applicable law, including laws administered by the US Treasury Department’s Office of Foreign Assets Control (OFAC) and the European Union. 
      5. International Remittances are normally paid out in the currency of the destination country. If the currency that you select is not the currency to be received by the Receiver, the amount of the International Remittance will be converted at the then current rate of the destination country and as we may determine from time to time, in addition to the applicable transfer fee. Such currency conversion will be made at the time of making the transfer and the Receiver will receive the converted foreign currency amount. Where local regulations at the destination country require, the currency of the International Remittance must be converted at the time the International Remittance is paid out to your Receiver, in which case the exchange rate and any amounts related to your International Remittance may be subject to exchange rate fluctuations between the time of transfer and the time your Receiver collects the corresponding funds. In countries that provide payment in multiple currencies, you must select the currency of payment to the Receiver.  The transfer fee that the Remittance Intermediaries make when changing the funds into foreign currency may vary based upon the payment currency you selected.
      6. With respect to International Remittances from your Wallet Account to another bank account, where available, you are liable for any additional fees applicable where the Receiver's account is not in the local currency or if you choose to complete a transaction in currency other than the local currency, or where local regulations in the destination country require the currency to be converted at the time the Receiver is paid, the Receiver's receiving institution may, at its discretion, convert the funds at its own exchange rate or reject the transaction.  The exchange rate applied may be less favourable than some publicly reported commercial exchange rates used in transactions between banks and other financial institutions.
      7. Remittance Intermediaries will refund the principal amount of an International Remittance (at the applicable exchange rate in effect at the time the refund is made) upon your request via the App when possible or if payment to the Receiver is not made or credited within 45 days. Transfer fees and charges are not refundable.  To the extent allowed by law, we and Remittance Intermediaries may deduct an administrative charge from International Remittances that are not picked up within one year of the send date.
      8. We and the Remittance Intermediaries do not guarantee the delivery or suitability of any goods or services paid for by means of International Remittance. In no event shall we or any Remittance Intermediary be liable if you communicate transactional data to any person other than the Receiver or if your Receiver communicates such transactional data to any other person. We are not responsible for any delay in the completion of an International Remittance transaction resulting from any cause whatsoever, including (without limitation) from: (i) a transaction exceeding any amount limitations, and/or (ii) regulatory restrictions or other restrictions.  In no event shall we or any Remittance Intermediary be liable for damages for delay, non-payment or underpayment of an International Remittance, or non-delivery of any supplemental message, whether caused by negligence on the part of their employees or representatives or otherwise, other than refunding the principal amount of the International Remittance. 
      9. In no event shall we or Remittance Intermediaries be liable for: (i) any fees, exchange rates used for conversion to non-local currency, (ii) acts or omissions of the destination or intermediary financial service providers, (iii) any losses resulting from any charges or fees being applied to your International Remittance transaction, or (iv) any indirect, special, incidental, or consequential damages.
  12. URPAY WALLET SERVICES IMPLEMENTATION

    • To use the urpay Wallet Services, you must complete all required information elements on our registration process and open up a Wallet Account with us. If You do not meet our eligibility requirements, you may not be able to register and open a Wallet Account with us or your use of the urpay Wallet Services will be limited. 

    • Information requirements. All information that you provide during the registration process must be current, complete and accurate. You must update registration information promptly upon any changes so that it remains complete and accurate at all times. You agree to promptly provide any information or documents that we may require (for example, to verify your identity) or that may be required by law or our financial institutions to provide the urpay Wallet Services.

    • You will comply with any technical and operational specifications provided or made available by us with respect to the urpay Wallet Services (the “Specifications”). We will provide you with thirty (30) days prior notice of any changes to the Specifications and the terms of section ‏20-3 below shall apply. 

    • Modifications. We may make modifications, updates or upgrades to the urpay Wallet Services and/or Our Materials and we will notify you of such modifications, updates or upgrades (as applicable) at least thirty (30) days in advance of such changes and the terms of section ‏20-3 below shall apply. In such circumstances, you will test and, if necessary, modify your web App or service to ensure that it continues to operate properly with the then-current version of the urpay Wallet Service.

    • Devices. You will need an eligible Device in order to use the urpay Wallet Service. You can request a list of eligible Devices by contacting us using one of the methods set out in section 2.2 above. Devices that have been unlocked in an unauthorised fashion or otherwise modified may not be eligible to use the urpay Wallet Services. 

    • Complaints. If you wish to make a complaint about the urpay Wallet Services or the Marketplace, you can make a complaint by notifying our Customer Support Team as per section 2.2 above. We will ensure that all complaints are handled and addressed in a fair and timely manner. We will communicate with you regarding your complaint within a period of seven (7) calendar days from the date of receipt (unless you notify us that the complaint has been resolved). We will respond to you with a decision regarding your complaint within fourteen (14) calendar days from the date we receive the complaint. 

  13. FEES AND PAYMENT TERMS

    • You agree to pay all applicable fees whenever you use the urpay Wallet Services either directly with Us, our Affiliates or via the Marketplace. We will notify you of the applicable fees from time to time but prior to you authorising a payment transaction. If you request any International Remittances, you will also be responsible for any associated fees and charges in accordance with section ‏10-1 of this Agreement. 

    • We reserve the right to change our fees at any time. Fees are assessed against the amount of the transactions, including all applicable charges (e.g., shipping, taxes, etc.). All e-money and all fees, charges, and payments collected or paid through the urpay Wallet Services are denominated in SAR. All changes to fees will be notified by urpay to you via email or the App, as urpay may determine at its sole discretion and in accordance with the terms of section  ‏20-3 by giving at least thirty (30) days’ prior notice. 

    • To the extent permitted by law, if there are any outstanding amounts payable to us, you hereby authorise us to automatically deduct from your Wallet Account the outstanding amount of any fees or other sums you may owe us under this Agreement. If you owe us an amount that exceeds the Balance on your Wallet Account, we may charge or debit the funding instrument or you will pay us the full amount of the outstanding upon receipt of an invoice from us for such amounts. You will be liable for and pay us upon invoice all costs associated with collection in addition to the amount collected. 

    • In the event there is an error in the processing of any transaction, you authorise us to initiate debit or credit entries to your Wallet Account to correct such error, provided that any such correction is made in accordance with Applicable Laws. 

    • You are responsible for determining any and all Taxes and duties assessed, incurred, or required to be collected, paid, or withheld for any reason in connection with any request for or performance or use of the urpay Wallet Service, your use of the App, the sale or purchase of any products or services, or otherwise in connection with any action, inaction, or omission by you. You also are responsible for collecting, withholding, reporting, and remitting correct Taxes to the appropriate tax authority. We and our Affiliates are not obliged to determine whether Taxes apply and are not responsible for calculating, collecting, reporting, or remitting any Taxes to any tax authority arising from any transaction.

  14. TERM AND TERMINATION

    • This Agreement will commence on when it becomes effective pursuant to the terms above and, will continue until terminated in accordance with the provisions set out herein. 

    • You may terminate this Agreement at any time by contacting our Customer Support Team as per Section 2.2 above and closing your Wallet Account. Upon closure of your Wallet Account, any pending transactions will be cancelled. 

    • We reserve the right to refuse to provide or discontinue the urpay Wallet Services to any person or entity at any time for any reason.

    • We may terminate the Wallet Services and this Agreement, for any reason at any time by providing prior written notice to you. Without limiting the foregoing, we may also suspend the urpay Wallet Services and block access to your Wallet Account in accordance with section ‏15.

    • If after termination of the Agreement there are funds in your Wallet Account, upon your request, we will redeem the full amount of the outstanding e-money. You may request redemption of your funds to be provided in cash or by transfer to your bank account (in which case you will need to provide us with your bank account details).  We will process your redemption request within one (1) month of receipt of your request. We will do our best to provide redemption of the funds on your Wallet Account by the method you have chosen; however, we retain a discretion to determine the method to be used based on the amount of funds that you hold. 

    • We will not be liable to you for compensation, reimbursement, or damages of any kind, direct or indirect, including damages on account of the loss of prospective profits, anticipated sales, goodwill, or on account of expenditures, investments, or commitments in connection with your use of the urpay Wallet Services, or in connection with any termination or suspension of the urpay Wallet Services. Upon termination of this Agreement for any reason:
      (a) you will remain liable for all fees, charges and other payment obligations that have been incurred before the date of termination with respect to the urpay Wallet Service,
      (b) your access to the App will be terminated, and
      (c) you will no longer be able to make any purchases on the Marketplace.  

    • Any payment obligations under this Agreement that have been incurred before the date of termination and any other terms which by their nature are intended to survive the termination of this Agreement, shall survive and remain in effect upon the termination of this Agreement.

  15. SERVICE AND ACCOUNT SUSPENSIONS

    • We may suspend the urpay Wallet Services and block access to your Wallet Account (including without limitation the funds in your Wallet Account) if: 

      1. you have violated the terms of this Agreement; 
      2. we determine that you pose an unacceptable credit or fraud risk to Us;
      3. you provide or have provided false, incomplete, inaccurate, or misleading information (including without limitation any registration information) or otherwise engage in fraudulent or illegal conduct; 
      4. we have security concerns regarding your Wallet Account, including your Credentials; or 
      5. we suspect unauthorized or fraudulent use of your Wallet Account or any payment information in your Wallet Account. 

      In such cases we will inform you of the suspension of your Wallet Account and the reasons for it, where possible, before the suspension and at the latest immediately thereafter, unless we determine giving such information would compromise security concerns or is prohibited by Applicable Law. We will reactivate your Wallet Account or Credentials, or replace it or them (as applicable), once we have resolved the reasons for suspension. You must notify us through the methods specified in section 2.2 above if you wish to request us to reactivate your Wallet Account.

  16. DATA PROTECTION

    • We use your personal data in the manner set out in our Privacy Policy and as further described in this Agreement. Our Privacy Policy is available in the App and the Marketplace. 

    • By using the urpay Wallet Service, the App and/or the Marketplace, you consent to the collection and use of your personal data in the manner set out in the Privacy Policy. 

    • If we decide to change our Privacy Policy, we will post those changes on the Privacy Policy page so that you are always aware of what information we collect, how we use it and under what circumstances we disclose it. You should check the Privacy Policy frequently for changes. 

    • We will protect your personal data and maintain its confidentiality including where it is held by an agent or third party on behalf of us and ensure that we have in place and maintain adequate policies, procedures and controls.  We will not disclose your personal data unless:
      (a) required to do so by applicable laws and regulations, by SCB or other competent authority in the Kingdom of Saudi Arabia, or
      (b) the disclosure is made with your prior written consent. 

    • We will have in place and maintain adequate policies, procedures and controls, as well as employee awareness training, to protect your personal data and to identify, act to prevent and resolve any information security breaches.

  17. WARRANTIES

    • Each party represents and warrants that it has full power and authority to enter into the Agreement.

    • You warrant to us that: 

      1. you are eligible to register and use the urpay Wallet Services and have the right, power, and ability to enter into and perform under this Agreement; 
      2. the name identified by you when you registered is your name; 
      3. any sales transaction submitted by you will represent a bona fide sale by you as described on the App or in the Marketplace;
      4. you will only use the urpay Wallet Services to transact on your own account and not on behalf of any other person or entity; 
      5. you and all transactions initiated by you will comply with all applicable laws, rules, and regulations, including any applicable tax laws and regulations;
      6. you will not use the urpay Wallet Service, directly or indirectly, for any fraudulent undertaking or in any manner so as to interfere with the use of the urpay Wallet Service; 
      7. you are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties or owned or controlled by such a party, including but not limited to the lists maintained by the United Nations Security Council, the US Government (e.g., the US Department of Treasury’s Specially Designated Nationals list and Foreign Sanctions Evaders list and the US Department of Commerce’s Entity List), the European Union or its member states, or other applicable government authority.
    • We and our Affiliates (and their licensors) make no express warranties or representations with respect to the provision of the urpay Wallet Services. In particular, we, and our Affiliates (and their licensors) do not represent or warrant to you that your use of the urpay Wallet Services will meet your requirements or that the operation of the Services will be uninterrupted, virus-free, secure or error-free or that any information obtained by you as a result of your use of the Services will be accurate or reliable. 

    • No conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description) apply to the urpay Wallet Services or Marketplace except to the extent that they are expressly set out in this Agreement.

  18. LIABILITY

    • Nothing in the Agreement will exclude or limit either party’s liability for fraud, fraudulent misrepresentation or any other liability which may not be lawfully excluded or limited by Applicable Law.

    • Subject to section ‏18-1 above, we, and our Affiliates (and its licensors), will not be liable to you for any:

      1. economic losses (including, without limitation, loss of revenues, profits, contracts, data, business, anticipated savings);
      2. cost of substitute services; 
      3. loss of goodwill or reputation; or
      4. special, indirect or consequential losses,

      suffered or incurred by you arising out of or in connection with this Agreement, in any case, whether or not such losses were within the contemplation of the parties at the date of this Agreement.

    • Subject to section ‏18-1, our total liability arising out of or in connection with this Agreement will be limited to no more than an amount equal to Fees paid and/or payable by you for the preceding twelve (12) month period of the year in which the cause of action giving rise to the liability arose, or such prorated amount if the urpay Wallet Services have been provided for a period less that twelve (12) months. 

    • Subject to section ‏18-1 above, urpay and our Affiliates (and their licensors), will not be liable to you for any loss or damage which may be incurred by you as a result of:
      (a) any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the App or the Marketplace,
      (b) any change which we may make to the urpay Wallet Services, the App or the Marketplace, or any permanent or temporary cessation or suspension in the provision of the urpay Wallet Services (or any features within the urpay Wallet Services) or the Marketplace,
      (c) malfunction of the urpay Wallet Services, the App or the Marketplace,
      (d) the deletion of, corruption of or failure to store any communications data maintained or transmitted by or through your use of the urpay Wallet Services, the App or the Marketplace,
      (e) your failure to provide us with accurate account information,
      (f) any fraudulent use of the urpay Wallet Services by you;
      (g) any delay or failure to comply with our obligations under this Agreement if the delay or failure arises from any cause which is beyond our reasonable control; or
      (h) our termination or suspension of the urpay Wallet Services in accordance with section ‏14-6.

  19. INDEMNITY

    • You will indemnify, defend and hold harmless urpay, our Affiliates and/or any financial service provider with whom urpay has an agreement in relation to or in connection with the urpay Wallet Services (the "Indemnified Persons") harmless from and against any and all third party claims brought against any Indemnified Persons and all liability, loss and expenses (including damage awards, settlement amounts, and reasonable legal fees) incurred or suffered by the Indemnified Persons, arising out of or in connection with:

      1. any actual or alleged breach of your representations, warranties, or obligations set forth in this Agreement, including without limitation any violation of our Policies; 
      2. any actual or alleged infringement, misappropriation or violation of any third-party rights (including intellectual property rights) or Applicable Law; 
      3. any transaction submitted by you through the urpay Wallet Service;
      4. your negligence, strict liability or intentional misconduct; and/or 
      5. your use of the urpay Wallet Services or Marketplace otherwise than as permitted by this Agreement. 
  20. GENERAL PROVISIONS

    • This Agreement, constitutes the entire agreement between the parties in relation to its subject matter and supersedes any previous contracts or arrangements of any kind between the parties relating to its subject matter. Except as expressly stated otherwise in this Agreement, no modification or amendment of this Agreement will be binding on us unless set forth in writing and signed by us.
    • Communications with us. When you visit the App or send e-mails to Us, you are communicating with us electronically. We communicate with you via the App and the e-mail address we have on file for you. By registering for the urpay Wallet Services and accepting the terms of this Agreement, you affirmatively consent to receive notices electronically from us. We may provide all communications and information related to the urpay Wallet Services and your Wallet Account, including without limitation agreements related to the urpay Wallet Service, amendments or changes to such agreements or any Policies, disclosures, notices, transaction information, statements, responses to claims and other customer communications that we may be required to provide to you by law (collectively, “Communications”) in electronic format. Communications may be posted to the App or sent by e-mail, and all such Communications will be deemed to be in “writing” and received by and properly given to you. You are responsible for printing, storing and maintaining your own records of Communications, including copies of this Agreement. This condition does not affect your statutory rights, including the right to request a copy of this Agreement. 
    • Amendments. urpay is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that urpay may provide a new service from time to time by providing you with notice in accordance this section of the Agreement. Should you wish to use such new service(s), their respective terms and conditions apply. In addition we may: 

      1. modify the terms of this Agreement, the Specifications, any Policy, or the features of the urpay Wallet Services at any time. Save for any material amendments or changes to the Marketplace (see section ‏20-3‏‌ب) below), we will provide you with at least thirty (30) days’ notice before making any changes, unless: (a) the change needs to be implemented sooner in order to comply with the laws and/or regulations of the Kingdom of Saudi Arabia; or (b) the changes should be implemented with immediate effect for the best interest of you and us. In such circumstances we will notify you as soon as possible. We will notify you of changes through the App. If you do not agree to any change to this Agreement, the Specifications, any Policy or feature of the urpay Wallet Service, you may terminate this Agreement and close your Wallet Account without charge to you for such termination. You will be deemed to accept the changes to Policies, the Specifications, this Agreement, or the features of the urpay Wallet Services (as applicable) if you do not terminate this Agreement by the date which is thirty (30) days from the date that we notified you of the change. 
      2. make amendments or changes to the Marketplace at any time. We will inform you of any material amendments or changes that we make to the Marketplace by posting details of the amendment or change in the App. We will provide you with at least seven (7) days’ notice before the date the amendment or change takes effect unless (a) the amendment or change needs to be implemented sooner in order to comply with the laws and/or regulations of the Kingdom of Saudi Arabia; or (b) the amendment or change should be implemented with immediate effect for the best interest of you and us. In such circumstances we will notify you as soon as possible. We will notify you of changes through the App.
    • Assignment. You may not assign or transfer any rights, obligations, or privileges that you have under this Agreement without our prior written consent. Subject to the foregoing, this Agreement will be binding on each party’s successors and permitted assigns. Any assignment or transfer in violation of this section will be deemed null and void.
    • Waiver. To be effective, any waiver by a party of any of its rights or the other party’s obligations under this Agreement must be made in a writing signed by the waiving party. No failure or forbearance by either party to insist upon or enforce performance of any of the provisions of this Agreement or to exercise any rights or remedies under this Agreement or otherwise constitutes a waiver or relinquishment to any extent of such party’s right to assert or rely upon any such provision, right, or remedy in that or any other instance; rather, the same will be and remain in full force and effect.
    • Severance. If any portion of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining portions of this Agreement will remain in full force and effect and, upon our request, the court will construe any invalid or unenforceable portions in a manner that most closely reflects the effect and intent of the original language. If such construction is not possible, the provision will be severed from this Agreement and the rest of the Agreement remains in full force and effect.
    • Governing law and jurisdiction. This Agreement shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.  Any dispute arising out of this Agreement shall be submitted to the Committee for the Banking Disputes operating under the SCB.
    • Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the subject matter of this Agreement, and supersedes and cancels all prior and contemporaneous agreements, claims, representations, and understandings of the parties in connection with the subject matter of this Agreement. Except as expressly provided above, no modification or amendment of this Agreement will be binding on us unless set forth in writing and signed by us.
    • By selecting the "Continue" tab at the starting screen, you confirm that you have read this Agreement, you agree to all terms, conditions, and notices contained or referenced in this Agreement and you provide your express consent to the same.

URPAY CARDS TERMS AND CONDITIONS

  1. THESE TERMS

    • 1.1 These urpay Prepaid Card Terms and Conditions (the Card Terms) form an integral part of your Agreement with urpay and shall apply to your use of any prepaid payment cards issued by urpay.
    • 1.2 These Card Terms will continue in effect unless and until you or we cancel your Wallet Terms or these Card Terms pursuant to the termination rights provided for in your Wallet Terms and these Card Terms, as applicable.
    • 1.3 Please read these Card Terms carefully before requesting, activating and using any Card. In the event of any inconsistency between the Wallet Terms and these Card Terms then the provisions of these Card Terms shall apply.
  2. CARDS ISSUANCE AND ACTIVATION

    • 2.1 Request the card via urpay App and agree on the terms and conditions.
    • 2.2 To use your Card, you must first create a password number (PIN) and activate it. You can create a password number (PIN) and activate your Card by logging into your Wallet Account via the App and following the steps and instructions on the App to create and populate a password number (PIN) for the relevant Card.
    • 2.3 All Cards issued to you under these Card Terms are linked to your Wallet Account and will be issued with no balance. You will have to top up your Prepaid Card by transferring amounts from your Available Balance on your Wallet Account to your selected Card.
    • 3.4 Your Card is of direct debit nature from the amounts available on the Card. You can monitor the status, balance and transactions of your Card via the App.
  3. VALIDITY PERIODS AND CARD RENEWALS

    • 3.1 Unless stated otherwise on a Card, each Card will be valid for a period of three (3) Gregorian calendar years from the date of issuance.
    • 3.2 Cards will be automatically renewed upon expiry for further three (3) year periods, unless you cancel your Prepaid Card in accordance with section 4 below
  4. CANCELLATION AND/OR SUSPENSION OF CARDS 

    Cancellation by you
    • 4.1 You have the right to request cancellation of your Prepaid Card free of additional charge as follows (if issuance fees apply, such fees will not be reimbursable):

      1. Within ten (10) calendar days of the date of issuance of the Card by urpay
    • 4.2 After the ten (10) day period referred to in section 4.1 above has expired, you may cancel your Prepaid Card at any time, but you must give urpay at least forty-five (45) days’ prior notice (as detailed below) before any applicable annual fees are due in order to avoid being charged the annual fee for the applicable year. Details of annual fees are provided under section 5 of these Prepaid Card Terms. 
    • 4.3 In the event that the Card is not used for a period of three (3) months from the date of issuance, we and you acknowledge and agree to cancel your Card.
    • 4.4 If Urpay makes any changes to these Prepaid Card Terms (excluding any applicable fees, which remain fixed for the term) you may cancel your Prepaid Card with immediate effect during the applicable notice period given by urpay under section 20.3 (Amendments) of the Wallet Terms. The notice period provided by Urpay for any changes will ordinarily be thirty (30) days before the relevant change comes into effect,
      unless: (a) the change needs to be implemented sooner in order to comply with the laws and regulations of the Kingdom of Saudi Arabia;
      or (b) the changes should be implemented with immediate effect for the best interest of you and us. In such circumstances we will notify you as soon as possible. If you cancel your Prepaid Card in accordance with this section you will not be charged any new annual fee (if applicable) for the relevant Prepaid Card provided that you have cancelled before the next annual fee becomes due and payable, even if there is less than forty-five (45) days before the annual fee due date.
    • 4.5 Cancellation may be requested by notifying Urpay in writing using the contact details set out in section 2.2 (Contacting Us) of the Wallet Terms, or through the App by following the cancellation instructions set out on the App.
    Cancellation or suspension by urpay
    • 4.6 We reserve the right to refuse to provide or discontinue the provision of Cards to any person or entity at any time and for any reason. If we decide to discontinue providing Card services to you, we may cancel any existing Card issued to you by providing you with thirty (30) days’ written notice.
    • 4.7 We may also cancel a Card with immediate effect on giving written notice (which includes by electronic communication) to you in the event of any actual or suspected breach of the Agreement by you, or any misuse of any Card. If you have multiple Cards or other payment cards linked to your Wallet Account we may, at our discretion, cancel such other payment cards linked to your Wallet Account.
    • 4.8 We may suspend access to your Card for any of the reasons set out in section 15.1 (Service and Account Suspension) of the Wallet Terms. We may also suspend any of your Cards if we deem, in our sole discretion, that such action is necessary for protection of you, us or other users of our services.
    Consequences of cancellation
    • Upon cancellation of a Card:

      1. 4.9 You must (where applicable) destroy your cancelled Physical Card and dispose of it at your own responsibility minding any environmental requirements;
      2. 4.10 All existing amounts owed by you in respect of your Cards will become due and payable to urpay on the date that cancellation takes effect. You agree that you hereby authorize urpay to charge such amounts on your Card and to charge any outstanding amounts as at the effective date of cancellation from your Wallet Account. In the event you do not have sufficient funds in your Wallet Account, you will have to settle such amounts to us immediately and you will be responsible for all expenses, fees and costs (including legal fees) incurred by us in collecting payment from you;
      3. 4.10 Any remaining balance on your Card will be returned to your Wallet Account after converting the Supported Currencies (other than SAR) to SAR pursuant to these Card Terms.
  5. CARD FEES

    • 5.1 You must pay all charges and fees in respect of your Cards. Urpay will charge you any applicable fees for a Card at the point that a Card is issued to you.
    • 5.2 The applicable fees on the date that you entered into your Agreement with Urpay are set out in the table at section 5.3 of these Card Terms. These are payable in addition to any other fees and charges as may be payable in respect of your Wallet Account, your use of the Urpay Services as may be specified under the Wallet Terms or any fees and/or charges that may be payable to Third Party Payment Platforms when you make purchases with a Card via such Third Party Payment Platform (see section below on Third Party Payment Platforms).
    • 5.3 The applicable fees (excluding any Tax) are as follows:

    • 5.4 All fees quoted are exclusive of applicable Value Added Tax (VAT) and any other indirect Taxes, as may be applicable. You shall be responsible for any applicable Taxes in accordance with section 13.5 (Fees and Payment Terms) of the Wallet Terms.
    • 5.5 If you use your Card for international cash withdrawal or International purchase in a foreign Currency and having sufficient SAR balance on your card you will bear any differences resulting from the fluctuation of the exchange rates. Here is an example to illustrate the method of currency conversion and not the real exchange rate:

  6. USING YOUR CARD(S)

    • 6.1 You agree that you will not use a Card to purchase any items prohibited under Sharia or for any other prohibited payment as may be specified by urpay from time to time in accordance with section 5.8  (Prohibited Payments) of the Wallet Terms. Urpay will have the right to suspend or cancel any Card if you breach this section.
    • 6.2 You will be responsible for all obligations arising out of purchases made via your Card. If when purchasing goods or services online the merchant website requests a security code, this will be sent to you using the mobile number that you have registered with Urpay.
    • 6.3 Cards can be used to purchase goods and services through websites and points of sale that accept the scheme of your Card, eligible Third Party Payment Platforms including Apple Pay, mada Pay, or any other electronic wallets as may be available.
  7. THIRD PARTY PAYMENT PLATFORMS

    • 7.1 Where you elect to top up your Wallet Account or receive any payments, you agree to comply with the following terms of this section. You can use your Card to make payments via eligible online or mobile payment systems and/or an electronic wallet services created by a third party provider (each a Third Party Payment Platform). You can link your Card to an eligible Third Party Payment Platform by following the instructions for doing so issued by the applicable Third Party Payment Platform provider, and by doing so you will be consenting to the terms and conditions of that Third Party Payment Platform for which we have no responsibility. You may de-link your Payment Card from a Third Party Payment Platform and we may as well cancel this functionality at our discretion subject to notifying you pursuant to these Card Terms.
    • 7.2 When using an eligible Third Party Payment Platform you will be able to add the credentials of your Cards to make payments for purchases at merchants and payment acceptance portals that accept payment via such Third Party Platform.
    • 7.3 A virtual representation of any Card you link to a Third Party Payment Platform is licensed to you for use only in accordance with these Card Terms. You acknowledge and agree that:

      1. we reserve all rights not expressly granted to you;
      2. you are granted a non-exclusive, non-sub licensable, non-transferable, personal, limited license to install and use tokens and other credentials associated with a Card to make payments with your Device on the Third Party Platform solely in accordance with the Wallet Terms. The license is limited to use on any Device that you own or control and as permitted by any applicable third party agreements; and
      3. you shall not rent, lease, lend, sell, redistribute or sub-license any right to use any Card credentials on the Third Party Payment Platform.
    • 7.4 We may retain records of your activity in the Third Party Payment Platform, including the most recent transactional data. We may also periodically collect and use technical data and related information (that does not personally identify you) as a result of your use of the Third Party Payment Platform (for example, technical information about your Device). We may use this information to improve our products or to provide services or technologies.
    • 7.5 By registering, adding and using the Cards on a Third Party Payment Platform, you acknowledge that certain Card account information may be transmitted to and stored within your Device with the Third Party Payment Platform provider and/or on the system of a third party working with the Third Party Payment Platform provider. We shall not be responsible and have no control over the privacy and security of your personal data and the information provided by you to the Third Party Payment Platform provider.
  8. ACCOUNT STATEMENTS 

    • 8.1 You can view your transactions data in your Wallet Account via the App. You should report any irregularities and clarify any questions you have as soon as possible and in any event within thirty (30) days from the date of the relevant transaction using the methods specified in section 2.2 (Contacting Us) of the Wallet Terms. You will be responsible for any charges associated with any wrong objections raised (see disputes fees in the table at section 5.3).
    • 8.2 You acknowledge and agree that not receiving an account statement does not excuse you of your obligation to make payment of the amounts due in connection with your Cards to urpay. You can find out the due amounts on the Card by accessing your App at any time.
  9. Transactions

    • 9.1 Your local and international transactions will be subject to the fees, calculations and processes described under section 5 of these Card Terms.
  10. Card LIMITS

    • 10.1 The payment limit for any Card linked to your Wallet Account shall be the amount available on the corresponding Card. You can check your Card balance at any time by logging into your Wallet Account via the App.
  11. YOUR RESPONSIBILITY 

    • 11.1 You undertake that you will not authorize others to use any Card issued to nor disclose your PIN number to anyone.
    • 11.2 Your liability for unauthorized use of Cards shall be limited by the following:

      1. Where the unauthorized use: (i) of a Card is due to loss or theft of the Physical Card or (ii) of a Virtual Card is due to unauthorized use or access of your Virtual Card by a third party, your maximum liability prior to you reporting the loss or theft to us shall not exceed your Card balance or the amount of unauthorized transactions posted to your whichever is lower at the time of such loss or theft
      2. You shall have no liability for any unauthorized transactions made on the Cards after reporting it to us if the following conditions were met:

        1. You notified us immediately and without delay in accordance with section 13 of these Cards Terms; and
        2. You exercised vigilant care in safeguarding the Cards from risk of loss, theft or unauthorized use.
    • 11.3 When you inform us of unauthorized charges on a Card, Urpay will ensure appropriate investigations are carried out to determine responsibility and liability. You must provide all necessary information and documentation to assist in the investigations as may be requested by Urpay. We will provide you with a reference or transaction number at the time of the report of loss, theft or unauthorized usage of a Card.
    • 11.4 Following our receipt of a notification of loss or theft of a Card, we will block the Card. You will thereafter have no further liability provided that you have acted in good faith and with all reasonable care and diligence in safeguarding the Card. If you subsequently recover a Physical Card, you shall report the matter to us and any relevant law enforcement authority and immediately destroy the recovered Physical Card and dispose of it at your own responsibility minding any environmental requirements. You must not make any attempt to use a Card that has been reported as lost or stolen.
  12. URPAY’S RESPONSIBILITY

    • 12.1 We shall not be responsible for any loss or damage arising directly or indirectly from any malfunction/failure of a Card arising out of your mistake, the insufficiency of funds or any other reason either within or beyond our control unless such direct and actual loss or damage occurs as a result of our negligence. We shall also not be responsible for refusal to accept the Card or if there is a defect in any point-of-sale devices.
    • 12.2Any transactions made on a Card shall be between you and the relevant seller. We are not a party to this contract nor do we assume any responsibility or liability arising out of or in connection with such contract.
    • 12.3 urpay will not be responsible for refunding the issuance/annual fee of the card to the customer in any case as it is payable to urpay.
  13. LOST, STOLEN OR DESTROYED PAYMENT CARDS

    • 13.1 In the event that a Card is lost, stolen or destroyed, or you otherwise become aware of any unauthorized access or use, you must immediately inform us via the App or by calling the call center at 8001000081 (from within KSA) and 00966115125666 (out of KSA).
  14. REPLACEMENT CARDS

    • 14.1 We may issue you a new Card in the following circumstances:

      1. You have reported a Physical Card “where applicable” as lost, stolen or destroyed;
      2. A Card has been invalidated on the suspicion of a fraud or a suspicious transaction;
      3. A Card is accessed or used by someone other than you;
      4. The validity period of the Card as set out in section 3 of these Cards Terms is due to expire;
      5. As a result of technical, operational or technological enhancements (including system enhancements); or
      6. In order to comply with any applicable laws, requirements or regulations in the Kingdom of Saudi Arabia.
    • 14.2 You shall be liable for the fees mentioned in section 5 of these Card Terms if we issue you with a replacement Card for any of the reasons set out in sections 14.1.1 to 14.1.3 (inclusive) of these Card Terms.
    • 14.3 You shall have the right to accept or reject the replacement Card issued to you in accordance with section 14.1 of these Card Terms provided that you will have been deemed to have given your consent where:

      1. You do not expressly object to the new Card within fourteen (14) calendar days from the date of issue of the replacement Card; or
      2. You activate the Card as required by us or otherwise use the replacement Card to undertake transactions in your Wallet Account.
  15. ACKNOWLEDGEMENT

    • You acknowledge and agree that:

      1. 15.1 Use of your Card is conditional on the availability of balance in your Card. You must not use your Card to make purchases unless your Card has sufficient funds for the purchase. Without prejudice to the foregoing, if any transaction you make (including any applicable transaction fees) results in your Card balance being less than zero and there are insufficient funds in your Wallet Account, you shall immediately pay back to Urpay all outstanding balance recorded. In such circumstances, Urpay shall have the right to cancel your Card upon or after such outstanding amount is recorded, with you taking any responsibility arising due to use of your Card in violation of provisions of this section;
      2. 15.2 All information that you provide to us in order that we may issue you with Card must be current, complete and accurate. You will promptly notify us of any changes to your contact details (including address, phone numbers and email address) or other information that you provide to us in accordance with section 12.2 (Information Requirements) of the Wallet Terms. If you fail to promptly notify us, we may (at our discretion) suspend your Card(s); and
      3. 15.3 You authorize us to send your data declaration and account details to SCB, banks and any other applicable authorities. You authorize us to obtain and/or disclose to the Saudi Credit Bureau (SIMAH) or any other certified parties by the SCB such information as may be required by us (at our discretion) to prove, review or manage your Wallet Account and the Card. 
  16. GENERAL PROVISIONS

    • 16.1 The following provisions shall apply to the prepaid card offered by urpay, in addition to the terms stated in the urpay Card Terms and Conditions to which this document shall form an integral part and should be read in conjunction with the terms included in the card application form.

      1. Cashback Program: is the program that will allow customers to spend on urpay Prepaid Card and earns cash according to the eligible Transactions.
      2. Cashback: means the amount that will be credited to urpay Prepaid Card as set forth in this document or as decided by the urpay
      3. Misuse: means the utilization of urpay Prepaid card must meet personal spend and not be used for commercial purposes.
    • 16.2 urpay Cashback Cardholders are eligible to receive Cashback which is an accrued amount earned on eligible transactions as set forth in this document, as decided by urpay at its absolute discretion and which shall be credited to the urpay Prepaid Card after the transaction is received.
    • 16.3 Note: The transaction settlement and reconciliation might take from 2 to 7 days to be posted.
    • 16.4 The Eligible Transactions (considering the provisions of clause 6 from this section “General Provisions”) are all retail transactions, at point of sale or online, charged to urpay Prepaid Card and Alahli club prepaid card as below:

      1. 1% cashback on international spend
      2. 0.6% Cashback on domestic spend

      Urpay Signature Prepaid Card as below:

      1. 1.5% cashback on international spend
      2. 1.2% Cashback on domestic spend
    • 16.5 urpay is entitled, at any time and with prior notice to the Cardholder in any manner whatsoever, to terminate the urpay Prepaid Card and/or vary its benefits or features, and/or vary, add to or delete any of the terms and conditions outlined herein, and/or modify or limit the value of Cashback awarded, and/or the manner of which the Cashback is awarded and the Cardholder shall be bound by such variations and amendments. The latest provisions in such connection will be available on the urpay website. It is the Cardholders’ responsibility to ensure that they are apprised of the provisions and any changes thereof relating to the Card at all times. urpay’s decision on all matters relating to the urpay Prepaid Card shall be final and binding on the Cardholder.
    • 16.6 Notwithstanding the provisions of clause 16.5 above, urpay, at its absolute discretion may at any time deactivate, or not activate from the beginning the cash back for some transactions for some categories of merchants and/or transactions
    • 16.7 The minimum spend required to be eligible for a Cashback is 1SAR.
    • 16.8 urpay will not be responsible for providing Cashback for purchases at merchant outlets/franchisees that have not registered themselves under the MCCs assigned for each spend category by VISA.
    • 16.9 Misuse of the urpay Prepaid Card to effect fictitious transactions through POS terminals at merchant outlets or through other means shall not be eligible for Cashback also the card must meet personal spend and not be used for commercial purposes and urpay has the right to cancel the card and reclaimed the cashback amount.
    • 16.10 Any reversal/part reversal of transactions will result in the withdrawal of Cashback awarded. urpay reserves the right to adjust against Cashback for future Eligible transactions or to charge the equivalent value of such Cashback credited directly from the Card Account without prior notice.
    • 16.11 Any Cashback accumulated and not credited into the Card Account will be cancelled if the Card is:

      1. Closed.
      2. Not in good standing in the opinion of urpay;
      3. The Cardholder’s Cashback Card has expired and was not renewed;
      4. There has been a breach of the terms and conditions; or
    • 16.12 Any other event, which, in the sole discretion of urpay should result in the cancellation of the urpay Prepaid Card.
    • 16.13 This terms and conditions is executed in English and Arabic. In case of discrepancy between Arabic and English, the Arabic shall prevail. Every dispute arising between the parties in connection
    • 16.14 With this terms and conditions shall be referred to the competent judicial authority in the kingdom of Saudi Arabia.
  1. THESE TERMS

    • 1.1 These Urpay Prepaid Card Terms and Conditions (the “Card Terms”) form an integral part of your Agreement with Urpay and shall apply to your use of any prepaid payment cards issued by Urpay.
    • 1.2 These Card Terms will continue in effect unless and until you or we cancel your Wallet Terms or these Card Terms pursuant to the termination rights provided for in your Wallet Terms and these Card Terms, as applicable.
    • 1.3 Please read these Card Terms carefully before requesting, activating and using any Card. In the event of any inconsistency between the Wallet Terms and these Card Terms then the provisions of these Card Terms shall apply.
  2. CARDS ISSUANCE AND ACTIVATION

    • 2.1 Request the card via urpay App and agree on the terms and conditions.
    • 2.2 To use your Card, you must first create a password number (PIN) and activate it. You can create a password number (PIN) while requesting the card. and activate your Card by logging into your Wallet Account via the App and following the steps and instructions on the App for the relevant Card.
    • 2.3 All Cards issued to you under these Card Terms are linked to your Wallet Account and will be issued with no balance. You will have to top up your Prepaid Card by transferring amounts from your Available Balance on your Wallet Account to your selected Card.
    • 2.4 Your Card is of direct debit nature from the amounts available on the Card. You can monitor the status, balance and transactions of your Card via the App
  3. VALIDITY PERIODS AND CARD RENEWALS

    • 3.1 Unless stated otherwise on a Card, each Card will be valid for a period of three (3) Gregorian calendar years from the date of issuance.
    • 3.2 Cards will be automatically renewed upon expiry for further three (3) year periods, unless you cancel your Prepaid Card in accordance with section 4 below
  4. CANCELLATION AND/OR SUSPENSION OF CARDS 

    Cancellation by you
    • You have the right to request cancellation of your   Card

      1. 4.1 Within ten (10) calendar days of the date of issuance of the Card by Urpay
    • 4.2 After the ten (10) day period referred to in section 4.1 above has expired, you may cancel your Prepaid Card at any time, but you must give Urpay at least forty-five (45) days’ prior notice (as detailed below) before any applicable annual fees are due in order to avoid being charged the annual fee for the applicable year. Details of annual fees are provided under section 5 of these Prepaid Card Terms.
    • 4.3 In the event that the Card is not used for a period of three (3) months from the date of issuance, we and you acknowledge and agree to cancel your Card.
    • 4.4 If Urpay makes any changes to these Prepaid Card Terms (excluding any applicable fees, which remain fixed for the term) you may cancel your Prepaid Card with immediate effect during the applicable notice period given by Urpay under section 20.3 (Amendments) of the Wallet Terms. The notice period provided by Urpay for any changes will ordinarily be thirty (30) days before the relevant change comes into effect, unless: (a) the change needs to be implemented sooner in order to comply with the laws and regulations of the Kingdom of Saudi Arabia; or (b) the changes should be implemented with immediate effect for the best interest of you and us. In such circumstances we will notify you as soon as possible. If you cancel your Prepaid Card in accordance with this section you will not be charged any new annual fee (if applicable) for the relevant Prepaid Card provided that you have cancelled before the next annual fee becomes due and payable, even if there is less than forty-five (45) days before the annual fee due date.
    • 4.5 Cancellation may be requested by notifying Urpay in writing using the contact details set out in section 2.2 (Contacting Us) of the Wallet Terms, or through the App by following the cancellation instructions set out on the App.
    Cancellation or suspension by Urpay
    • 4.6 We reserve the right to refuse to provide or discontinue the provision of Cards to any person or entity at any time and for any reason. If we decide to discontinue providing Card services to you, we may cancel any existing Card issued to you by providing you with thirty (30) days’ written notice.
    • 4.7 We may also cancel a Card with immediate effect on giving written notice (which includes by electronic communication) to you in the event of any actual or suspected breach of the Agreement by you, or any misuse of any Card. If you have multiple Cards or other payment cards linked to your Wallet Account we may, at our discretion, cancel such other payment cards linked to your Wallet Account.
    • 4.8 We may suspend access to your Card for any of the reasons set out in section 15.1 (Service and Account Suspension) of the Wallet Terms. We may also suspend any of your Cards if we deem, in our sole discretion, that such action is necessary for protection of you, us or other users of our services.

  5. CARD FEES

    • 5.1 You must pay all charges and fees in respect of your Cards. Urpay will charge you any applicable fees for a Card at the point that a Card is issued to you.

We shall not be responsible and have no control over the privacy and security of your personal data and the information provided by you to the Third Party Payment Platform provider.
    • ACCOUNT STATEMENTS 

      • 8.1 You can view your transactions data in your Wallet Account via the App. You should report any irregularities and clarify any questions you have as soon as possible and in any event within thirty (30) days from the date of the relevant transaction using the methods specified in section 2.2 (Contacting Us) of the Wallet Terms. You will be responsible for any charges associated with any wrong objections raised (see disputes fees in the table at section 5.3)
      • 8.2 You acknowledge and agree that not receiving an account statement does not excuse you of your obligation to make payment of the amounts due in connection with your Cards to Urpay. You can find out the due amounts on the Card by accessing your App at any time.
    • Transactions

      • 9.1 Your local and international transactions will be subject to the fees, calculations and processes described under section 5 of these Card Terms.
    • Card LIMITS

      • 10.1 The payment limit for any Card linked to your Wallet Account shall be the amount available on the corresponding Card. You can check your Card balance at any time by logging into your Wallet Account via the App.
    • YOUR RESPONSIBILITY 

      • 11.1 You undertake that you will not authorize others to use any Card issued to nor disclose your PIN number to anyone.
      • 11.2 Your liability for unauthorized use of Cards shall be limited by the following:

        1. Where the unauthorized use: (i) of a Card is due to loss or theft of the Physical Card, your maximum liability prior to you reporting the loss or theft to us shall not exceed your Card balance or the amount of unauthorized transactions posted to your whichever is lower at the time of such loss or theft; and
        2. You shall have no liability for any unauthorized transactions made on the Cards after reporting it to us if the following conditions were met:

          1. (a) you notified us immediately and without delay in accordance with section 13 of these Cards Terms; and
          2. (b) you exercised vigilant care in safeguarding the Cards from risk of loss, theft or unauthorized use.
      • 11.3 When you inform us of unauthorized charges on a Card, Urpay will ensure appropriate investigations are carried out to determine responsibility and liability. You must provide all necessary information and documentation to assist in the investigations as may be requested by Urpay. We will provide you with a reference or transaction number at the time of the report of loss, theft or unauthorized usage of a Card.
      • 11.4 Following our receipt of a notification of loss or theft of a Card, we will block the Card. You will thereafter have no further liability provided that you have acted in good faith and with all reasonable care and diligence in safeguarding the Card. If you subsequently recover a Physical Card, you shall report the matter to us and any relevant law enforcement authority and immediately destroy the recovered Physical Card and dispose of it at your own responsibility minding any environmental requirements. You must not make any attempt to use a Card that has been reported as lost or stolen.
    • URPAY’S RESPONSIBILITY

      • 12.1 We shall not be responsible for any loss or damage arising directly or indirectly from any malfunction/failure of a Card arising out of your mistake, the insufficiency of funds or any other reason either within or beyond our control unless such direct and actual loss or damage occurs as a result of our negligence. We shall also not be responsible for refusal to accept the Card or if there is a defect in any point-of-sale devices.
      • 12.2 Any transactions made on a Card shall be between you and the relevant seller. We are not a party to this contract nor do we assume any responsibility or liability arising out of or in connection with such contract.
      • 12.3 urpay will not be responsible for refunding the issuance/annual fee of the card to the customer in any case as it is payable to urpay.
    • LOST, STOLEN OR DESTROYED PAYMENT CARDS

      • 13.1 In the event that a Card is lost, stolen or destroyed, or you otherwise become aware of any unauthorized access or use, you must immediately inform us via the App or by calling the call center at 8001000081 (from within KSA) and 00966115125666 (out of KSA).
    • REPLACEMENT CARDS

      • 14.1 We may issue you a new Card in the following circumstances:

        1. You have reported a Physical Card “where applicable” as lost, stolen or destroyed;
        2. Card has been invalidated on the suspicion of a fraud or a suspicious transaction;
        3. Card is accessed or used by someone other than you;
        4. The validity period of the Card as set out in section 3 of these Cards Terms is due to expire;
        5. As a result of technical, operational or technological enhancements (including system enhancements); or
        6. In order to comply with any applicable laws, requirements or regulations in the Kingdom of Saudi Arabia.
      • 14.2 You shall be liable for the fees mentioned in section 5 of these Card Terms if we issue you with a replacement Card for any of the reasons set out in sections 14.1.1 to 14.1.3 (inclusive) of these Card Terms.
      • 14.3 You shall have the right to accept or reject the replacement Card issued to you in accordance with section 14.1 of these Card Terms provided that you will have been deemed to have given your consent where:

        1. You do not expressly object to the new Card within fourteen (14) calendar days from the date of issue of the replacement Card; or
        2. You activate the Card as required by us or otherwise use the replacement Card to undertake transactions in your Wallet Account.
    • ACKNOWLEDGEMENT

      • You acknowledge and agree that:

        1. 15.1 use of your Card is conditional on the availability of balance in your Card. You must not use your Card to make purchases unless your Card has sufficient funds for the purchase. Without prejudice to the foregoing, if any transaction you make (including any applicable transaction fees) results in your Card balance being less than zero and there are insufficient funds in your Wallet Account, you shall immediately pay back to Urpay all outstanding balance recorded. In such circumstances, Urpay shall have the right to cancel your Card upon or after such outstanding amount is recorded, with you taking any responsibility arising due to use of your Card in violation of provisions of this section;
        2. 15.2 all information that you provide to us in order that we may issue you with Card must be current, complete and accurate. You will promptly notify us of any changes to your contact details (including address, phone numbers and email address) or other information that you provide to us in accordance with section 12.2 (Information Requirements) of the Wallet Terms. If you fail to promptly notify us, we may (at our discretion) suspend your Card(s); and
        3. 15..3 you authorize us to send your data declaration and account details to SCB, banks and any other applicable authorities. You authorize us to obtain and/or disclose to the Saudi Credit Bureau (SIMAH) or any other certified parties by the SCB such information as may be required by us (at our discretion) to prove, review or manage your Wallet Account and the Card
    • GENERAL PROVISIONS

      • 16.1 The following provisions shall apply to the prepaid card offered by urpay, in addition to the terms stated in the urpay Card Terms and Conditions to which this document shall form an integral part and should be read in conjunction with the terms included in the card application form.

        1. a. “Cashback Program” is the program that will allow customers to spend on urpay Prepaid Card and earns cash according to the eligible Transactions.
        2. b. “Cashback” means the amount that will be credited to urpay Prepaid Card as set forth in this document or as decided by the urpay
        3. c. “Eligible Transactions” are all retail transactions, at point of sale or online, charged to urpay Prepaid Card, except for the transactions excluded in point 13 below.
        4. d. “Misuse” means the utilization of urpay Prepaid card must meet personal spend and not be used for commercial purposes.
      • 16.2 urpay Cashback Cardholders are eligible to receive “Cashback” which is an accrued amount earned on eligible transactions as set forth in this document, as decided by urpay at its absolute discretion and which shall be credited to the urpay Prepaid Card after the transaction is received.
      • 16.3 Note: The transaction settlement and reconciliation might take from 2 to 7 days to be posted.
      • 16.4 The Eligible Transactions (considering the provisions of clause 16.6 from this section "General Provisions”) are all retail of sale or online, charged to urpay Prepaid Card holder as below

        1. a. 1% cashback on international spend
        2. b. 0.6% Cashback on domestic spend
      • 16.5 urpay is entitled, at any time and with prior notice to the Cardholder in any manner whatsoever, to terminate the urpay Prepaid Card and/or vary its benefits or features, and/or vary, add to or delete any of the terms and conditions outlined herein, and/or modify or limit the value of Cashback awarded, and/or the manner of which the Cashback is awarded and the Cardholder shall be bound by such variations and amendments. The latest provisions in such connection will be available on the urpay website. It is the Cardholders’ responsibility to ensure that they are apprised of the provisions and any changes thereof relating to the Card at all times. urpay’s decision on all matters relating to the urpay Prepaid Card shall be final and binding on the Cardholder.
      • 16.6 Notwithstanding the provisions of clause 16.5 above, urpay, at its absolute discretion may at any time deactivate, or not activate from the beginning the cash back for some transactions for some categories of merchants and/or transactions.
      • 16.6 The minimum spends required to be eligible for a Cashback is 1SAR.
      • 16.7 Classification of merchant / Cashback categories will be determined based on the merchant category code (MCC) published by VISA, and defined by the merchant’s acquiring bank; Acquiring banks are required to follow global standards and definitions of merchant classifications as are set forth by the schemes (Visa/MasterCard/AMEX/Diners etc.). urpay cannot be held accountable for incorrect assignment/segmentation
      • 16.8 urpay will not be responsible for providing Cashback for purchases at merchant outlets/franchisees that have not registered themselves under the MCCs assigned for each spend category by VISA.
      • 16.9 Misuse of the urpay Prepaid Card to effect fictitious transactions through POS terminals at merchant outlets or through other means shall not be eligible for Cashback also the card must meet personal spend and not be used for commercial purposes and urpay has the right to cancel the card and reclaimed the cashback amount.
      • 16.10 Any reversal/part reversal of transactions will result in the withdrawal of Cashback awarded. urpay reserves the right to adjust against Cashback for future Eligible transactions or to charge the equivalent value of such Cashback credited directly from the Card Account without prior notice.

      • 16.11 Any Cashback accumulated and not credited into the Card Account will be cancelled if the Card is:

        1. i. closed;
        2. ii. not in good standing in the opinion of urpay;
        3. iii. the Cardholder’s Cashback Card has expired and was not renewed;
        4. iv. there has been a breach of the terms and conditions; or
      • 16.12 any other event, which, in the sole discretion of urpay should result in the cancellation of the urpay Prepaid Card
      • 16.13 This terms and conditions is executed in English and Arabic. In case of discrepancy between Arabic and English, the Arabic shall prevail. Every dispute arising between the parties in connection
      • 16.14 with this terms and conditions shall be referred to the competent judicial authority in the kingdom of Saudi Arabia.

    URPAY PHYSICAL CARDS TERMS AND CONDITIONS

    1. THESE TERMS

      • These Urpay Prepaid Card Terms and Conditions (the Card Terms) form an integral part of your Agreement with Urpay and shall apply to your use of any prepaid payment cards issued by Urpay.
      • These Card Terms will continue in effect unless and until you or we cancel your Wallet Terms or these Card Terms pursuant to the termination rights provided for in your Wallet Terms and these Card Terms, as applicable.
      • Please read these Card Terms carefully before requesting, activating and using any Card. In the event of any inconsistency between the Wallet Terms and these Card Terms then the provisions of these Card Terms shall apply.
    2. CARDS ISSUANCE AND ACTIVATION

      • Request the card via urpay App and agree on the terms and conditions.
      • To use your Card, you must first create a password number (PIN) and activate it. You can create a password number (PIN) and activate your Card by logging into your Wallet Account via the App and following the steps and instructions on the App to create and populate a password number (PIN) for the relevant Card.
      • All Cards issued to you under these Card Terms are linked to your Wallet Account and will be issued with no balance. You will have to top up your Prepaid Card by transferring amounts from your Available Balance on your Wallet Account to your selected Card.
      • Your Card is of direct debit nature from the amounts available on the Card. You can monitor the status, balance and transactions of your Card via the App.
    3. VALIDITY PERIODS AND CARD RENEWALS

      • Unless stated otherwise on a Card, each Card will be valid for a period of three (3) Gregorian calendar years from the date of issuance.
      • Cards will be automatically renewed upon expiry for further three (3) year periods, unless you cancel your Prepaid Card in accordance with section 4 below
    4. CANCELLATION AND/OR SUSPENSION OF CARDS 

      Cancellation by you
      • You have the right to request cancellation of your Prepaid Card free of additional charge as follows if issuance fees apply, such fees will not be reimbursable:

        1. Within ten (10) calendar days of the date of issuance of the Card by Urpay
      • After the ten (10) day period referred to in section 4.1 above has expired, you may cancel your Prepaid Card at any time, but you must give Urpay at least forty-five (45) days’ prior notice (as detailed below) before any applicable annual fees are due in order to avoid being charged the annual fee for the applicable year. Details of annual fees are provided under section 5 of these Prepaid Card Terms.
      • In the event that the Card is not used for a period of three (3) months from the date of issuance, we and you acknowledge and agree to cancel your Card
      • If Urpay makes any changes to these Prepaid Card Terms (excluding any applicable fees, which remain fixed for the term) you may cancel your Prepaid Card with immediate effect during the applicable notice period given by Urpay under section 20.3 (Amendments) of the Wallet Terms. The notice period provided by Urpay for any changes will ordinarily be thirty (30) days before the relevant change comes into effect, unless: (a) the change needs to be implemented sooner in order to comply with the laws and regulations of the Kingdom of Saudi Arabia; or (b) the changes should be implemented with immediate effect for the best interest of you and us. In such circumstances we will notify you as soon as possible. If you cancel your Prepaid Card in accordance with this section you will not be charged any new annual fee (if applicable) for the relevant Prepaid Card provided that you have cancelled before the next annual fee becomes due and payable, even if there is less than forty-five (45) days before the annual fee due date.
      • Cancellation may be requested by notifying Urpay in writing using the contact details set out in section 2.2 (Contacting Us) of the Wallet Terms, or through the App by following the cancellation instructions set out on the App.
      Cancellation or suspension by Urpay
      • We reserve the right to refuse to provide or discontinue the provision of Cards to any person or entity at any time and for any reason. If we decide to discontinue providing Card services to you, we may cancel any existing Card issued to you by providing you with thirty (30) days’ written notice.
      • We may also cancel a Card with immediate effect on giving written notice (which includes by electronic communication) to you in the event of any actual or suspected breach of the Agreement by you, or any misuse of any Card. If you have multiple Cards or other payment cards linked to your Wallet Account we may, at our discretion, cancel such other payment cards linked to your Wallet Account.
      • We may suspend access to your Card for any of the reasons set out in section 15.1 (Service and Account Suspension) of the Wallet Terms. We may also suspend any of your Cards if we deem, in our sole discretion, that such action is necessary for protection of you, us or other users of our services.
      Consequences of cancellation
      • Upon cancellation of a Card:

        1. You must (where applicable) destroy your cancelled Physical Card and dispose of it at your own responsibility minding any environmental requirements;
        2. All existing amounts owed by you in respect of your Cards will become due and payable to Urpay on the date that cancellation takes effect. You agree that you hereby authorise Urpay to charge such amounts on your Card and to charge any outstanding amounts as at the effective date of cancellation from your Wallet Account. In the event you do not have sufficient funds in your Wallet Account, you will have to settle such amounts to us immediately and you will be responsible for all expenses, fees and costs (including legal fees) incurred by us in collecting payment from you; and
        3. Any remaining balance on your Card will be returned to your Wallet Account after converting the Supported Currencies (other than SAR) to SAR pursuant to these Card Terms.
    5. CARD FEES

      • You must pay all charges and fees in respect of your Cards. Urpay will charge you any applicable fees for a Card at the point that a Card is issued to you.
      • The applicable fees on the date that you entered into your Agreement with Urpay are set out in the table at section 5.3 of these Card Terms. These are payable in addition to any other fees and charges as may be payable in respect of your Wallet Account, your use of the Urpay Services as may be specified under the Wallet Terms or any fees and/or charges that may be payable to Third Party Payment Platforms when you make purchases with a Card via such Third Party Payment Platform (see section below on Third Party Payment Platforms)

      • All fees quoted are exclusive of applicable Value Added Tax (VAT) and any other indirect Taxes, as may be applicable. You shall be responsible for any applicable Taxes in accordance with section 13.5 (Fees and Payment Terms) of the Wallet Terms.
      • If you use your Card for a cash withdrawal or a purchase in a foreign Currency and having sufficient SAR balance on your card you will bear any differences resulting from the fluctuation of the exchange rates. Here is an example to illustrate the method of currency conversion and not the real exchange rate:

    6. USING YOUR CARD(S)

      • You agree that you will not use a Card to purchase any items prohibited under Sharia or for any other prohibited payment as may be specified by Urpay from time to time in accordance with section 5.8  (Prohibited Payments) of the Wallet Terms. Urpay will have the right to suspend or cancel any Card if you breach this section
      • You will be responsible for all obligations arising out of purchases made via your Card. If when purchasing goods or services online the merchant website requests a security code, this will be sent to you using the mobile number that you have registered with Urpay.
      • Cards can be used to purchase goods and services through websites and points of sale that accept the scheme of your Card, eligible Third Party Payment Platforms including Apple Pay, mada Pay, or any other electronic wallets as may be available.
    7. THIRD PARTY PAYMENT PLATFORMS

      • You can use your Card to make payments via eligible online or mobile payment systems and/or an electronic wallet services created by a third party provider (each a Third Party Payment Platform). You can link your Card to an eligible Third Party Payment Platform by following the instructions for doing so issued by the applicable Third Party Payment Platform provider, and by doing so you will be consenting to the terms and conditions of that Third Party Payment Platform for which we have no responsibility. You may de-link your Payment Card from a Third Party Payment Platform and we may as well cancel this functionality at our discretion subject to notifying you pursuant to these Card Terms.
      • When using an eligible Third Party Payment Platform you will be able to add the credentials of your Cards to make payments for purchases at merchants and payment acceptance portals that accept payment via such Third Party Platform.
      • A virtual representation of any Card you link to a Third Party Payment Platform is licensed to you for use only in accordance with these Card Terms. You acknowledge and agree that:

        1. We reserve all rights not expressly granted to you;
        2. You are granted a non-exclusive, non-sub licensable, non-transferable, personal, limited license to install and use tokens and other credentials associated with a Card to make payments with your Device on the Third Party Platform solely in accordance with the Wallet Terms. The license is limited to use on any Device that you own or control and as permitted by any applicable third party agreements; and
        3. You shall not rent, lease, lend, sell, redistribute or sub-license any right to use any Card credentials on the Third Party Payment Platform.
      • We may retain records of your activity in the Third Party Payment Platform, including the most recent transactional data. We may also periodically collect and use technical data and related information (that does not personally identify you) as a result of your use of the Third Party Payment Platform (for example, technical information about your Device). We may use this information to improve our products or to provide services or technologies.
      • By registering, adding and using the Cards on a Third Party Payment Platform, you acknowledge that certain Card account information may be transmitted to and stored within your Device with the Third Party Payment Platform provider and/or on the system of a third party working with the Third Party Payment Platform provider. We shall not be responsible and have no control over the privacy and security of your personal data and the information provided by you to the Third Party Payment Platform provider.

        2. You shall have no liability for any unauthorized transactions made on the Cards after reporting it to us if the following conditions were met:

          1. You notified us immediately and without delay in accordance with section 13 of these Cards Terms; and
          2. You exercised vigilant care in safeguarding the Cards from risk of loss, theft or unauthorized use.

    16. GENERAL PROVISIONS

      • The following provisions shall apply to the prepaid card offered by urpay, in addition to the terms stated in the urpay Card Terms and Conditions to which this document shall form an integral part and should be read in conjunction with the terms included in the card application form.

        1. Cashback Program: is the program that will allow customers to spend on urpay Prepaid Card and earns cash according to the eligible Transactions.
        2. Cashback: means the amount that will be credited to urpay Prepaid Card as set forth in this document or as decided by the urpay
        3. Eligible Transactions: are all retail transactions, at point of sale or online, charged to urpay Prepaid Card, except for the transactions excluded in point 13 below.
        4. Misuse: means the utilization of urpay Prepaid card must meet personal spend and not be used for commercial purposes.
      • Urpay Cashback Cardholders are eligible to receive Cashback which is an accrued amount earned on eligible transactions as set forth in this document, as decided by urpay at its absolute discretion and which shall be credited to the urpay Prepaid Card after the transaction is received.
      • Note: The transaction settlement and reconciliation might take from 2 to 7 days to be posted.
      • The Eligible Transactions are all retail transactions, at point of sale or online, charged to urpay Prepaid Card holder as below:

        1. 1% cashback on international spend
        2. 0.6% Cashback on domestic spend
      • Urpay is entitled, at any time and with prior notice to the Cardholder in any manner whatsoever, to terminate the urpay Prepaid Card and/or vary its benefits or features, and/or vary, add to or delete any of the terms and conditions outlined herein, and/or modify or limit the value of Cashback awarded, and/or the manner of which the Cashback is awarded and the Cardholder shall be bound by such variations and amendments. The latest provisions in such connection will be available on the urpay website. It is the Cardholders’ responsibility to ensure that they are apprised of the provisions and any changes thereof relating to the Card at all times. urpay’s decision on all matters relating to the urpay Prepaid Card shall be final and binding on the Cardholder.
      • The minimum spend required to be eligible for a Cashback is 1SAR.
      • Classification of merchant / Cashback categories will be determined based on the merchant category code (MCC) published by VISA, and defined by the merchant’s acquiring bank; Acquiring banks are required to follow global standards and definitions of merchant classifications as are set forth by the schemes (Visa/MasterCard/AMEX/Diners etc.). urpay cannot be held accountable for incorrect assignment/segmentation.
      • Urpay will not be responsible for providing Cashback for purchases at merchant outlets/franchisees that have not registered themselves under the MCCs assigned for each spend category by VISA.
      • Misuse of the urpay Prepaid Card to effect fictitious transactions through POS terminals at merchant outlets or through other means shall not be eligible for Cashback also the card must meet personal spend and not be used for commercial purposes and urpay has the right to cancel the card and reclaimed the cashback amount.
      • Any reversal/part reversal of transactions will result in the withdrawal of Cashback awarded. urpay reserves the right to adjust against Cashback for future Eligible transactions or to charge the equivalent value of such Cashback credited directly from the Card Account without prior notice.
      • Any Cashback accumulated and not credited into the Card Account will be cancelled if the Card is:

        1. Closed.
        2. Not in good standing in the opinion of urpay;
        3. The Cardholder’s Cashback Card has expired and was not renewed;
        4. There has been a breach of the terms and conditions; or
      • Any other event, which, in the sole discretion of urpay should result in the cancellation of the urpay Prepaid Card.
      • Any decision about whether spend on purchases qualify as an Eligible Transaction for the purposes of Cashback and/or how spend are classified for each Cashback category shall be at the sole discretion of urpay.
      • Unless otherwise stated, all Eligible Transactions, charged to urpay Card are eligible for Cashback as per the categories defined above except for the following exclusions:

        1. Transportation
        2. Charity
        3. Government payments
        4. Cash withdrawal
        5. Auto Dealer
        6. Utility
        7. Insurance
        8. Cash withdrawals and balance transfers.
        9. Top-up wallets.
        10. Transactions that urpay decides are disputed, erroneous, unauthorized, illegal and/or fraudulent.
      • This terms and conditions is executed in English and Arabic. In case of discrepancy between Arabic and English, the Arabic shall prevail. Every dispute arising between the parties in connection
      • With this terms and conditions shall be referred to the competent judicial authority in the kingdom of Saudi Arabia.

    MONEYGRAM TERMS AND CONDITIONS FOR SENDING MONEY

    1. INTRODUCTION

      • The MoneyGram® money transfer service (“Service”) is provided by MoneyGram Payment Systems, Inc., (“we” or “us”) through a network of agents, authorized delegates, or other permitted entities (“Agents”). These Terms and Conditions, along with the Documentation (as defined in Section 1.3 below) used in connection with the Service to which these Terms and Conditions may be included or attached, constitute the entire agreement (“Agreement”) between us with you, the individual sender of the Service (“you” or “Sender”).
      • This Agreement and the Service allow you to send a money transfer (a Transfer) to the person named on the form (the “Recipient “) and allows them:

        1. To collect in cash at a MoneyGram location (our cash to cash service).
        2. To receive into their bank account or other type of physical or virtual account, for example a mobile wallet account (our “cash to account” service). These terms and conditions apply to both services, except where we say they apply to only one of them.
      • You must sign any other documentation related to the Transfer, including all forms, receipts, or acknowledgments (collectively, the “Documentation”) in order to use the Service.
      • By using, or attempting to use, the Service in any capacity, you are acknowledging that you:

        1. Accept the terms of this Agreement and;
        2. Have read the Documentation relating to the Transfer and that the information as described on the Documentation is accurate.
      • For cash to cash Transfers, you can either send money within the same country or to a different “receive country”. The Recipient can only collect the money in the receive country stated in the form. Once the Agent has processed this form and been given your money, the Recipient can collect the money at any MoneyGram location in the receive country within minutes (during opening hours) in cash, in the currency stated in the form unless condition 2.2 below applies. We will not contact the Recipient when the money is ready to collect, so this is something you will need to do.
      • We do not offer the Service in all countries. You can call us, visit our website or ask an Agent to find out the availability of our Service, and addresses and opening times of locations offering the Service.
    2. CHARGES AND CURRENCY EXCHANGE

      • You must pay us the fee stated in the form. We will not charge you any other fee for the Transfer. You can only send money in a certain currency or currencies. The Agent will tell you whether a payout currency is available in the receive country and (if different to the currency in which you pay us) what exchange rate will apply. Your chosen currency, the agreed exchange rate and the converted amount will be stated in the form.
      • For cash to cash Transfers to certain countries:

        1. If the Transfer amount is stated in U.S. Dollars, and the Recipient’s Agent does not pay out in that currency, they will convert the money into the local currency using either their or MoneyGram’s standard exchange rate.
        2. If the money (whatever foreign currency it is sent in) is not collected within 45 days, the Recipient’s Agent may recalculate the converted amount at the time of collection, using their or MoneyGram’s standard exchange rate.
    3. RESTRICTIONS ON TRANSFERS

      • There are limits on the amount you are able to send. The Agent will, as necessary, tell you what they are. We may refuse to send the money or allow it to be collected if we reasonably believe that:

        1. By doing so we might break any law, regulation, code or other duty that applies to us.
        2. Doing so may expose us to action from any government or regulator.
        3. Or it may be linked with fraudulent or illegal activity.
    4. CANCELLING AND REFUNDING A TRANSFER

      • You do not have a right to cancel the Transfer. We may nevertheless be able to cancel it before the Recipient collects or receives the money. If you wish to cancel the Transfer and request a refund of the Transfer amount, you can ask an Agent or write to us enclosing a copy of your completed form. We aim to process such requests promptly but in any case within 30 days.
    5. EXPIRED TRANSFERS

      • If you ask us to make a Transfer to be collected in cash and the Transfer amount has not been collected within 90 days, we will treat the Transfer as no longer capable of execution (an “Expired Transfer”). We will have no obligation, after that 90 day period, to execute an Expired Transfer. If an Expired Transfer occurs, you will be entitled to a refund of the amount of the Expired Transfer. If you become aware that a transferred amount has not been collected please contact us to ask for a refund.
    6. IDENTIFICATION AND PAY OUT FOR CASH TO CASH TRANSFERS

      • In order to collect the money and complete a Transfer, the following must be provided:

        1. Identification.
        2. The recipient’s details from the form.
        3. The Sender’s name.
        4. The Transfer amount.
        5. The 8-digit reference number.
      • We will not have any liability in the event that the Transfer is disbursed, when and as applicable, to an individual who provides valid identification to the Agent describing such person as the Receiver (even if such identification was false or forged) and provides a Reference Number. You must not give the details referred to in condition 6.1 to anyone other than your chosen Recipient. You must also do all you reasonably can to make sure no one else can obtain them - for example, by (i) not letting anyone see the form; (ii) not writing down the reference number in a way that can be recognized, nor letting anyone overhear you tell the Recipient the reference number; and (c) not trusting a person (other than the Recipient) who tries to assure you it is safe to disclose some or all of those details to them.
      • We will not have any liability in the event that the Transfer is disbursed, when and as applicable, to an individual who provides valid identification to the Agent describing such person as the Receiver (even if such identification was false or forged) and provides a Reference Number. You must not give the details referred to in condition 6.1 to anyone other than your chosen Recipient. You must also do all you reasonably can to make sure no one else can obtain them - for example, by:

        1. Not letting anyone see the form.
        2. Not writing down the reference number in a way that can be recognized, nor letting anyone overhear you tell the Recipient the reference number; and  not trusting a person (other than the Recipient) who tries to assure you it is safe to disclose some or all of those details to them.
    7. ADDITIONAL CONDITIONS FOR CASH TO ACCOUNT TRANSFERS

      • We will send the money to the account you specify in the form. For information on when a payment will be credited to such an account, you need to contact the Recipient’s account provider.
      • The Recipient’s account provider may apply its own charges to the Transfer, which do not involve us.
      • If you ask us to send money to an account and the Transfer was not made properly or never arrived, we will promptly refund your money and our fee - unless we can show that the account provider received the money or that there was a mistake in the Recipient’s account details that you gave us.
    8. SEPARATE ARRANGEMENTS

      • In addition to their offering of our Service, Agents may offer you their own products or services such as currency exchange. These additional products or services are separate and independent from the Service, are offered under the Agent’s own terms and conditions, and do not involve MoneyGram in any way. These additional products and services are likely to have their own fees associated with them.
    9. OUR LIABILITY

      • We will not be liable to you if we break this Agreement due to: (i) abnormal and unforeseeable circumstances outside our control where we could not avoid breaking this Agreement despite all efforts to the contrary - this may include, for example, delays or failures caused by industrial action, problems with another system or network, mechanical breakdown or data-processing failures; or (ii) our obligations under English or other applicable laws to which we may be subject to.
      • We will not be liable to you if we break this Agreement due to:

        1. Abnormal and unforeseeable circumstances outside our control where we could not avoid breaking this Agreement despite all efforts to the contrary - this may include, for example, delays or failures caused by industrial action, problems with another system or network, mechanical breakdown or data-processing failures; or
        2. Our obligations under English or other applicable laws to which we may be subject to.
      • We are not liable to you for more than the amount of money you send and our fee. We will not be liable for any incidental, indirect, special or consequential losses or costs you suffer or, as this Agreement is made with you as a consumer, any business losses or costs (such as loss of business profits or opportunities).
      • Our Service is for persons 18 years and over and may not be used for escrow or trust or gambling purposes, and may only be used for a lawful purpose. Please also read the fraud warnings on the form. If you ask us to pay someone who turns out to have defrauded you, or who fails to meet their obligations to you, we will not be liable as a result.
    10. OTHER TERMS

      • We will report money transfers to any government authorities if we are required to do so by law.
      • The Transfer and use of our Service does not involve you or the Recipient having a “deposit” or an account with MoneyGram.
      • These conditions have been prepared, and will be executed, in the English language, which shall be the governing language for all purposes. In the event of any conflict between the English version of the Agreement and any translated version of the Agreement, the English version of the Agreement shall govern and we will communicate with you in English.
    11. DATA PRIVACY 

      • This Notice applies to personal information MoneyGram collects about you and the recipient. The information we collect and use, depend on the product or service you have with us, including but not limited to, contact information and identification information. We may share the information we collect from you with third-parties, including affiliated companies, to process your transactions, market our products and services to you, detect and prevent fraud and other illegal activities, such as money laundering activities, or to cooperate with criminal or government investigations, in accordance to applicable laws. In addition, the personal information we collect may be transferred outside the country of collection for international transfers and for processing.     1. INTRODUCTION

      • 1.1. The Global Digital Financial Solutions Co. is one of Al Rajhi Bank affiliates. Therefore, URPAY clients (referred hereinafter as “Customer” or “Member”) will be able to benefit from Mokafaa Program of Al Rajhi Bank to collect the points of the rewards, the membership of the program, and the redemption of the points through urpay application as stipulated in the below Term and conditions
      • 1.2. These Terms and Conditions (referred to hereinafter as T&C) govern the use of the Al Rajhi Mokafaa Program, the collection of Rewards Points, the membership of the Al Rajhi Mokafaa Program, redemption,

      • 1.3. Member declares that a Member has read, understood, and accepted the following terms, conditions, and disclaimers in full, and hereby agrees to comply with and be bound by them. These T&C may be changed or updated from time to time; therefore, Members are encouraged to frequently visit these sections in order to be updated about the changes made.
    2. DEFINITIONS

      For the purpose of these T&C, the following terms shall have the following meaning:

      • 2.1. Al Rajhi Mokafaa Program – means the loyalty program run by Al Rajhi Bank pursuant to which a Member earns Rewards Points by performing transactions through his/her Al Rajhi Bank and its affiliates (Urpay as a product owned by affiliate company) products and services and then redeeming the earned points for Rewards.
      • 2.2. Account - means the account to which the " Al-Rajhi Rewards Points" of a Customer will be accrued.

        2.3. Customer- means a person who is a customer of Urpay or Al Rajhi Bank.

        2.4. Al-Rajhi Rewards Points- mean Al-Rajhi Rewards Points accrued by a customer based on the consumption of Al Rajhi Banks and its affiliates qualifying products and services or through the Service Partner.

        2.5. Rewards - mean specified goods or services to be provided by Al Rajhi Bank and its affiliates or a Service Partner to a Customer in exchange for Al-Rajhi Rewards Points.

        2.6. Service Partner- means a provider of goods or services which is participating in Al Rajhi Mokafaa Program from time to time, and may include (but not limited to) airlines, hotels and resorts, financial, leisure & lifestyle service providers, and rent-a-car companies or any service provider the bank and its affiliates decides to choose.

        2.7. Spend - means the amount spent by a Customer for availing any service or product subject to the Terms & Conditions of Al Rajhi Mokafaa Program which will entitle the Customer to earn Al-Rajhi Mokafaa Rewards Points.

        2.8. Member – means a person who is a member of the Al Rajhi Mokafaa Program and whose name is registered against the Membership Number.

        2.9. Membership Number – means the membership number allocated to a Member in accordance with these T&C.

        2.10. Member Loyalty Account – an account number that is set up under one Membership Number and which is used by Members within the Al Rajhi Mokafaa Program to earn and redeem points.

        2.11. OTP Code – (One Time Password) a four-digit number sent to the Member registered mobile number in Al Rajhi bank or its affiliates at the time of enrollment, platform login and used for key transactions with the Al Rajhi Mokafaa Program.

        2.12. Al Rajhi Bank and its affiliates Products and Services –mean Al Rajhi Bank’s and its affiliates products and services offered to its customers.

        2.13. Transactions – mean the transactions that are performed by Member within Al Rajhi Bank or its affiliates Products and Services.

        2.14. Platform – the loyalty platform that Al Rajhi Bank provides to its customers as a portal through which the member logs in and is not limited to accessing reward redemption options. The platform is accessible via https://loyalty.alrajhibank.com.sa and via Al Rajhi Bank mobile app.

        2.15. Website - Any website belongs to Al Rajhi Bank.

        2.16. Mobil Application - Any mobile application belongs to Al Rajhi Bank.

        2.17. URPAY: a digital wallet, owned by Global Digital Financial Solutions Co. one of Al Rajhi Bank Affiliates.

      • AL RAJHI MOKAFAA PROGRAM MEMBERSHIP

        • 3.1. The Members in Al Rajhi Mokafaa Program are the customers enrolled in the program.

          3.2. Customer needs to enroll in the program to earn member benefits.

          3.3. Al Rajhi Bank or its affiliates will set up a Member Mokafaa Account to credit Al-Rajhi Rewards Points earned or redeemed by the Member.

          3.4. Member must accept the terms and conditions to enroll.

          3.5. Member will earn, accumulate and redeem Rewards Points through the methods stated on the Platform, official website or Mobile App or Urpay app if the client is Urpay’s client.

      • POINTS COLLECTION

        • 4.1. The customer can collect the points through Al Rajhi Bank or its affiliates products as mentioned on the products page and the Al Rajhi Reward Platform.
        • 4.2. Member will earn Al Rajhi Bank Rewards Points relative to the transactions made through Al Rajhi Bank or Urpay Products and Services. The number of Rewards Points a Member may earn is determined according to Member’s use of said products and services and in accordance with Al Rajhi Bank terms that regulate the Al Rajhi Bank and its affiliates Products and Services, such as:
        • 4.3. Rewards Points will be credited to the Member's account on a monthly basis.
        • 4.4. Al Rajhi Rewards Points can be transferred to another member's loyalty account.
        • 4.5. Al Rajhi bank can set a maximum and minimum for points transfers.
        • 4.6. Al Rajhi Rewards Points may only be earned, retained, transferred or redeemed in the manner stipulated in these T&C.
        • 4.7. Any sale or attempted sale of points is in violation of T&C and the bank and Urpay has the right to deduct the points without any compensation.
        • 4.8. Any points earned or maintained in violation of these T&C are invalid and cannot be redeemed for rewards. Such points will be deducted from the member's loyalty account.
        • 4.9. If the Member continues to collect Al Rajhi Rewards Points, he will be informed of the status of his points, including the points he has collected and the points that have been redeemed or the points that are about to expire. Such information will be made available on the Platform and the Application.
      • REDEMPTION AND REWARDS

        • 5.1. All Rewards are subject to availability and stocks may be limited. These transactions and all Rewards are subject to applicable terms and conditions (including booking requirements, cancellation restrictions, return conditions, warranties and limitations of liability) of the Reward’s suppliers and/or Merchants.
        • 5.2. The Customer consents that the Bank and its affiliates will do the enrollment in Al Rajhi Mokafaa Program and will share any information, details or data relating to the Customer and/ or accounts of the Customer and/or the Customer's transactions with the Service Partners to redeem the rewards or settle any Customer issues.
        • 5.3. Once a Reward has been delivered or picked up, it cannot be returned or exchanged for Rewards Points or other Rewards.
        • 5.4. If the Reward is faulty, the Service Partner’s warranty will apply and the Member must revert to the Service Partner for support and assistance. The Bank and its affiliates will not hold any responsibility for any faulted or damaged reward.
        • 5.5. Rewards redeemed through the website and/ or mobile application will be delivered directly to the Customer. Once the Customer receives the reward, the Bank and its affiliates will not be responsible for using or otherwise maintaining that reward.
        • 5.6. If in the sole opinion of the Bank, a Customer violates the Program T&C, the Bank may suspend or terminate the provision of Al Rajhi Rewards Points to the said Customer with immediate effect. In such cases, the Bank and its affiliates may also, at its discretion, cancel the Al Rajhi Rewards Points that have already accrued.
        • 5.7. Customers are not able to access (or redeem) their mokafaa reward points, if they change their registered mobile number after enrolling into the program
      • OTHER REDEMPTION TERMS

        • 6.1. Al Rajhi Bank and its affiliates cannot be held liable for any loss, theft, damage or unauthorized use of Member’s OTP Code, E-voucher or Reward, whether in the course of delivery or otherwise.

        • 6.2. All conditions and warranties, whether expressed or implied and whether arising under legislation or otherwise, as to the condition, suitability, quality, fitness or safety of any Reward supplied are expressly excluded to the full extent permitted by law. Any liability that cannot be fully excluded is limited, where permitted, to replacing, repairing or crediting the value of the Reward to the Member’s account, as the Bank and its affiliates may desire.
        • 6.3. It is the Member’s responsibility to ensure the OTP Code is not compromised, shared with anyone, or mishandled. Any loss resulting from the unauthorized use of the Member’s OTP code, phone number or email is solely the Member’s responsibility.

        • 6.4. The Rewards offered by the Bank for redemption of the Al-Rajhi Rewards Points may, at the discretion of the Bank and its affiliates, be amended from time to time.
        • 6.5. Once Al Rajhi Rewards Points are redeemed, the Customer may not request the Al Rajhi Rewards Points to be reinstated in the Customer’s Account or replace the voucher for any reason.
        • 6.6. The Bank or its affiliates may suspend redemption of points if the Customer doesn’t maintain a clean credit record.
      • PARTNERS REWARDS

        • 7.1. By picking up vouchers or rewards from a Service Partner, the Customer agrees on the terms and conditions of that Partner.
        • 7.2. The Customer's rights regarding any rewards are only those related to the supply by Service Partner for those rewards. Subject to this Clause, all rewards supplied for any Customer shall be exclusively subject to the terms and conditions of service partners who provide those rewards.
        • 7.3. For points that are redeemed from a Service Partner, they cannot be refunded in cash.
        • 7.4. The Customer may redeem the points according to the terms and conditions applicable by the Partner within the value of redeemed points as the way the partner sees.
        • 7.5. All Rewards are subject to availability and Partners' restrictions. The Bank or Service Partners may from time to time and without notice set a period in which no Rewards will be available. Rewards may not be available on all Bank and/or its affiliates Products and Services at all times. Bank may withdraw, replace or substitute Rewards at any time without notice.
      • OTHER GENERAL TERMS

        • 8.1. Any unused points shall automatically expire one year (12 months) from the date they are accrued.
        • 8.2. Advertising campaigns points may have a different validity period from the regular points according to the period announced in the relevant advertising campaign.

        • 8.3. If the points are redeemed, they cannot be used again.
        • 8.4. Any transaction that is canceled, not completed, and the points are deducted from the Customer’s account, such transaction shall be reversed, and the points shall be returned by the Bank or its affiliates to the Customer’s account.
        • 8.5. The Member may deactivate its account in the Program at any time by sending a notice to us. Once the account is deactivated, the member loses its rights to redeem the points.
        • 8.6. Al Rajhi Bank may modify these T&C, in which case the Customer will be notified thirty days before any such modification and after publishing the amended T&C, the Customer shall accept the new T&C. We may suspend or terminate the Program, but after providing a notice thirty days before doing so, in which case all Members' accounts will be suspended or terminated.
        • 8.7. If the T&C are modified, the Customer will not be able to redeem or send the points to another Customer, or redeem them from partners or donate them unless he agrees on the new T&C.
        • 8.8. Some redemptions are taxable. In such event, the redemption amount will be inclusive of the tax and the Customer shall pay that tax.
        • 8.9. If any Customer is affected by losing points and rewards as a result of an error accurse by the bank or its affiliates, the Customer will be compensated and such points will be returned to its account.
        • 8.10. In case of conflict or discrepancy between these T&C and any other communications, including advertising or promotional materials, these T&C prevail.
      • WEBSITE AND MOBILE APPLICATION TERMS OF USE

        • 9.1. The Website and Mobile Application Terms of Use shall set out the legal conditions related to the Member’s use of and access to the Website and Mobile Application.
        • 9.2. By accepting these T&C, the Customer:

        • 9.3. A. Accepts these terms and conditions and agrees to be bound by each of them.
        • 9.4. B. Represents and warrants to Al Rajhi Bank and its affiliates that these T&C are binding upon, and enforceable against, the Customer.
        • 9.5. C. Declares that he has read and understood Al Rajhi Bank and its affiliates Privacy Policy.
        • 9.6. Member shall not directly or indirectly copy or reproduce all or any part of the Website and Mobile Application whether electronically, mechanically or otherwise, in any form including, but not limited to, the copying of presentation, style or organization. Member shall use the Website and Mobile Application solely for its intended purposes and shall not use the Website and Mobile Application for the benefit of any third party except as specifically contemplated under these T&C.
        • 9.7. Member shall not use the Website and Mobile Application to post, transmit, convey, submit, distribute, store or destroy any content, photographs, descriptions, drawings, content, audio materials, text, messages or other information (collectively, "Posted Information"): (a) in violation of any applicable law, statute, ordinance or regulation. (b) in a manner that will infringe the intellectual property rights of others. (c) that is defamatory, obscene or trade libelous. (d) that contains any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. (e) that is false, misleading or inaccurate in any way. or (f) in violation of any acceptable use policy or other policy posted at the Website and Mobile Application from time to time.
        • 9.8. Member shall not violate or attempt to violate the security of the Website and Mobile Application. Member shall not reverse engineer, decompile, disassemble or otherwise attempt to derive source code or other trade secrets from the Website and Mobile Application, including, without limitation, any of the software comprising or in any way making up a part of the Website and Mobile Application. In addition, Member will not export, re-export or permit any third party to export or re-export, directly or indirectly, the Website and Mobile Application where such export or re-export is prohibited by applicable law without appropriate licenses and clearances. Member shall defend and indemnify Al Rajhi Bank and its affiliates, at Member’s sole cost and expense, from and against any claims, damages, liabilities and/or expenses arising out of Member’s breach of any of Member’s obligations or representations set forth in this section.
        • 9.9. Member shall be solely responsible for: (i) all Posted Information Member input into the Website and Mobile Application. (ii) ensuring that all Posted Information is appropriate in tone and is accurate. (iii) complying with all applicable laws, rules and regulations at all times. (iv) maintaining all passwords and access codes to the Website and Mobile Application, and refraining from sharing or otherwise permitting third parties to use any such passwords and/or access codes to access the Website and Mobile Application.
        • 9.10. All trademarks, patents, copyrights and other intellectual property rights owned by Al Rajhi Bank and/or its affiliates and/or the Member on the date hereof shall continue to be owned solely by each of them, and except as set forth herein, nothing in these T&C shall be deemed to confer any rights to any such intellectual property on the other. Member acknowledges and agrees that the applicable supplier(s) of any third-party software included within the Website and Mobile Application shall own all worldwide rights, title and interest in and to such third-party software (and any intellectual property rights therein), subject to such suppliers' license, if any, of such third-party software to Al Rajhi Bank or its affiliates.
        • 9.11. Al Rajhi Bank and its affiliates shall be entitled to display advertising and/or any other content at locations of its choice within the Website and Mobile Application, including without limitation adjacent to Member’s Posted Information.
      • PRIVACY:

        • 10.1. Customer information held by Bank and its affiliates includes the information which a Customer or a Service Partner provides to Bank and its affiiates, such as the names, addresses, contact numbers, date of birth, and transaction details including ARB Points accrual and reward transactions relating to Bank and its affiliates.
        • 10.2. Customer information may not be disclosed except if required by related laws, regulations, and SAMA’s directives.
        • 10.3. Customer information may be used by Bank and its affiliates in the following cases:

          1. a) To send communications about promotions, services, products and facilities offered by Bank and its affiliates to the Customer;
          2. b) To develop new services without disclosing the information to any third party;
          3. c) For accounting and audit purposes (including fraud auditing);
          4. d) For credit checking and credit scoring;
          5. e) For marketing and market research purposes;
          6. f) For any other purpose authorized by the Customer from time to time;
        • 10.4. The consent given by a Customer will continue in effect unless and until the Customer withdraws the consent by notice in writing to the Bank Contact Centre. Withdrawal of consent may mean that certain services may no longer be provided to the Customer.
        • 10.5. A Customer may obtain a copy of his information upon making a written request and upon paying Bank’s reasonable actual costs (if any) of providing that Customer information. The Customer may request Bank to correct or delete any item of the Customer information which is not accurate, complete or up-to-date at no charge to the Customer.
      • WARRANTY, DISCLAIMERS AND LIMITATION OF LIABILITY

        • 11.1. Except as explicitly set forth herein, neither Al Rajhi Bank, its affiliates or any of any such party's equity holders, directors, officers, employees, agents, suppliers, licensors nor the like, makes any warranties of any kind, either expressed or implied, including, without limitation, (a) warranties of merchantability or fitness for a particular purpose, (b) that the Website or/ and Mobile Application will be error-free, (c) as to a minimum level of uptime for the Website and Mobile Application, or (d) as to the results that may be obtained by Member by accepting these T&C and/or using the Website and Mobile Application. Member agrees and acknowledges that the Website and Mobile Application are licensed and/or provided hereunder on an "as is" basis. In addition, Member hereby agrees and acknowledges that:A.  Al Rajhi Bank and its affiliates shall not be responsible for any actions taken by any other party using the Website and Mobile Application or reviewing any of Member’s Posted Information.
      • TERMINATION

        • 12.1. AlRajhi Bank and Urpay may terminate the reward program at any time and for any reason, in which case the Customer shall be so notified and shall be entitled to use his points during the period specified in the termination notice.

          12.2. These T&C shall remain in full force and effect unless and until it is terminated by AlRajhi Bank or its affiliates. Without limiting the foregoing, this Agreement may be terminated if Customer breaches any term of this Agreement, if Customer uses the reward program for any unauthorized or illegal purposes or Customer uses reward program in a manner inconsistent with the Terms & Conditions.

      • NO THIRD PARTY BENEFICIARIES

        • 13.1. The Agreement is solely for the benefit of the parties and their successors and permitted assigns, and does not confer any rights or remedies on any other person or entity.

      • SEVERABILITY

        • 14.1. If any provision of the Agreement is held by a court or other tribunal of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible under applicable law and the other provisions of the Agreement will remain in full force and effect.

      • FORCE MAJEURE

        • 15.1. Neither party shall be liable to the other if such party is prevented from performing any of its obligations under the Agreement (excluding fee payment obligations) due to any cause beyond the party’s reasonable control including, without limitation, an act of God, fire, flood, explosion, terrorism, war, embargo, government regulation, civil or military authority, acts or omissions of carriers, transmitters, providers, or acts of vandals, or hackers. The time for that party’s performance will be extended for the period of the delay or failure to perform due to such occurrence, except that you will not be excused from the payment of any sums of money owed by you to Al Rajhi Bank and its affiliates provided prior to the force majeure event.

      • LEGAL AND JUDICIAL JURISDICTION

        • 16.1. Each party will comply with all applicable laws, regulations, and ordinances relating to their performance hereunder.

          16.2. These Terms & Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia and the parties shall be subject to the exclusive jurisdiction of the Saudi courts in the city of Riyadh in case of any disputes.

      • ENTIRE AGREEMENT

        • 17.1. The Agreement constitutes the entire agreement between Al Rajhi Bank and its affiliates and the Member with respect to the subject matter hereof and all prior oral or written agreements, representations or statements with respect to such subject matter are superseded hereby.
